SUBJECT:Contract for Sale/Purchase of Real Property
DEPARTMENT:Administration
SUMMARY:At the direction of the City Council on December 15,2022,the Mayor signed a contract
offer to purchase three (3)parcels of real property on the south side of Indian River Boulevard just east of Cow
Creek Road. The owners of the property have submitted a counter offer wanting the following changes:
·The City included the statement ‘Buyer may terminate this contract within Due Diligence period for any
reason’,
·Sellers added the following language:‘the appraisal is to be completed within 60 days or by February
20, 2023’ instead of the 120 days initially requested,
·Sellers added the following language;‘50%of earnest money deposit will be retained by sellers if the
transaction does not close by April 18,2023.The entire deposit will be credited toward purchase if the
transaction is completed by April 18, 2023.
None of these changes are believed to be of concern and the monetary offer did not change.First,there is
other ‘canned’wording in the contract allowing the City to cancel the contract.Second,two appraisal firms
have stated in writing they are willing to do the appraisal and can complete it within 30 days.These firms and
costs are as follows:
·$3500 Heffington & Associates,
·$3800 Cooksey & Associates.
