FLORIDA RATIFYING AND
CONFIRMING ACTION BY THE CITY MANAGER AND FINANCE DIRECTOR IN
CONNECTION WITH THE AWARD OF THE CITY'S CAPITAL IMPROVEMENT
BONDS, SERIES 1995A (FLORIDA SHORES IMPROVEMENT AREA): AND
PROVIDING AN EFFECTIVE DATE.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF EDGEWATER, s •
FLORIDA:
SECTION 1. FINDINGS. It is hereby ascertained, determined and declared that the
City Council of the City of Edgewater, Florida (the "City "), by Resolution No. 94 -R -14 duly
adopted on August 15, 1994, as supplemented by Resolution No. 95 -R -09 duly adopted on
July 17, 1995 (collectively, the "Resolution"), authorized the City Manager and Finance Director
to solicit proposals, accept bids for, and award the City's Capital Improvement Bonds,
Series 1995A (Florida Shores Improvement Area) (the "1995A Bonds ").
SECTION 2. RATIFICATION AND CONFIRMATION. The action taken by the City + '
Manager and Finance Director on August 8, 1995, awarding the 1995A Bonds in the principal
amount, maturity amounts and dates and interest rates pursuant to the Certificate of Award
executed by the City Manager and Finance Director, a copy of which is, attached hereto as
Exhibit A, is hereby ratified and confirmed.
SECTION 3. BOND REGISTRAR AND PAYING AGENT. The Finance Director of
the City is hereby designated the Bond Registrar and Paying Agent with respect to the
Series 1995 Bonds.
SECTION 4. BOND FORM; CLOSING AND DELIVERY OF BOND. The form of
the Series 1995A Bond shall he substantially as shown on Exhibit B hereto. The Mayor and
City Clerk are hereby authorized and directed to execute and deliver the Series 1995A Bond to
First Union National Bank of Florida upon the satisfaction of all conditions to closing, as
evidenced by the delivery by Squire, Sanders & Dempsey, Bond Counsel, of their approving
opinion with regard to the Series 1995A Bond.

Ordinance No. 95 -0 -11 Increasing the Monthly Recycling Fee by Fifty
Cents
BACKGROUND:
Pursuant to discussion during the budget workshop, attached is
Ordinance No. 95 -0 -11 which would increase the monthly recycling
rate by fifty (50) cents, from $1.00 to $1.50 effective October 1,
1995. The current recycling rate has been in effect since June 28,
1991. In October 1993, the five year recycling contract was
awarded to Southard Enterprises, Inc. (Southard) with an initial
cost to the City of $1.399 per residential unit per month.
Pursuant to the agreement, Southard is entitled to an annual rate
increase based on the Consumer Price Index. The current cost to
the City is $1.437 per residential unit per month. Southard will
be entitled to an additional rate increase effective October 1,
1995.
RECOMMENDATION /CONCLUSION:
The Refuse Fund is an enterprise fund and must be self- sustaining.
Accordingly, Staff is recommending that the Council consider
approval of Ordinance No. 95 -0 -11 on first•reading.

AN ORDINANCE OF THE CITY COUNCIL OF EDGEWATER,
FLORIDA, REGARDING ARTICLE VI (SOLID WASTE
Now DISPOSAL) OF CHAPTER 19 (UTILITIES AND
SERVICES OF THE CODE OF ORDINANCES, CITY OF
EDGEWATER, FLORIDA; AMENDING SECTION 19 -63
(SERVICE CHARGES AND RATES) BY INCREASING THE

WHEREAS, the City Council of the City of Edgewater, Florida,
has made the following determinations:
1. The current residential recycling rate is one and 00 /100
dollars (1.00) per month and has been in effect since June 28,
1991.

dollars ($1.44) per residential unit per month. Pursuant to the
agreement with Southard Enterprises, Inc., the City's recycling

be self- sustaining.
4. Accordingly, it is necessary to increase the monthly rate
for recycling by fifty (50) cents per month.
NOW, THEREFORE, BE IT ENACTED by the People of the City of

PART A. AMENDMENT OF SECTION 19 -63 (SERVICE CHARGES AND
RATES) OF ARTICLE IV (SOLID WASTE DISPOSAL) OF CHAPTER 19
(UTILITIES AND SERVICES) OF THE CODE OF ORDINANCES, CITY OF
EDGEWATER, FLORIDA.
Section 19 - 63 is amended as follows:
Section 19 - 63. Service Charges and Rates.
(a) The city shall maintain and operate a service for the
collection and disposal of garbage and trash, and all persons whose
premises are serviced thereby shall pay to the city for such
services the following monthly rates:

shall not affect the remaining portions of this ordinance. If this
ordinance or any provisions thereof shall be held to be

holding shall not affect its applicability to any other person,
property, or circumstance.
PART D. CODIFICATION.
Provisions of this ordinance shall be incorporated in the Code
of Ordinances of the City of Edgewater, Florida, and the word
"ordinance ", may be changed to "section ", "article ", or other
appropriate word, and the sections of this ordinance may be
renumbered or relettered to accomplish such intention; provided,
however, that Parts B through F shall not be codified.

Outside Storage of Vehicles, Equipment, and Materials
BACKGROUND:
Sections 10 -60 through 10 -69 of the Code of Ordinances regulate the
outside storage of vehicles, equipment and materials. As the
result of recent Code Enforcement actions relating to alleged
violations of these sections, inconsistencies within these sections
and other Code sections have come to light. In addition, the
definition of "abandoned, junked or discarded motor vehicle" to
include any vehicle on which a current license plate is not
displayed has raised policy and legal questions. Accordingly, it
is necessary to address these matters. Since changes are required
at this time, Staff is also requesting that the Council address all
the underlying policy issues relating to outside storage.
RECOMMENDATION /CONCLUSION:
Attached is draft Ordinance No. 95 -0 -12 which would create Section
1101 (Outside Storage) of a new Chapter 11 (Miscellaneous
Regulations) of the Land Development Code. Staff requests that the
Council consider approval of the ordinance on first reading.

DEVELOPMENT CODE OF THE CITY OF EDGEWATER, FLORIDA;
PROVIDING REGULATIONS FOR THE OUTSIDE STORAGE OF
VEHICLES, EQUIPMENT AND MATERIALS; REPEALING SECTIONS
10 -60 THROUGH 10 -69 OF CHAPTER 10, HEALTH AND SANITATION
OF THE CODE OF ORDINANCES, CITY OF EDGEWATER, FLORIDA;
PROVIDING FOR CONFLICTING PROVISIONS, SEVERABILITY AND
APPLICABILITY; PROVIDING FOR AN EFFECTIVE DATE AND FOR
ADOPTION.
WHEREAS, the City Council of the City of Edgewater, Florida,
has made the following determinations:
1. Inconsistencies exist within Sections 10 -60 through 10 -69
of the Code of Ordinances which regulate the outside storage of
vehicles, equipment and materials.
2. Accordingly, it is in the best interest of the citizens of
Edgewater that Section 1101 (Outside Storage) of Chapter 11 of the
Land Development Code of the City of Edgewater, Florida be created.
NOW THEREFORE, BE IT ENACTED by the People of the City of
Edgewater, Florida:
PART A. CREATION OF SECTION 1101 (OUTSIDE STORAGE) OF CHAPTER 11
(MISCELLANEOUS REGULATIONS) OF THE LAND DEVELOPMENT CODE OF THE
CITY OF EDGEWATER, FLORIDA.
Section 1101 of Chapter 11 is hereby created to read as
follows:
Section 1101. Outside Storage
1101.01 Residential Uses. Outside storage of inoperable or
unlicensed vehicles, materials and equipment shall be
restricted to the rear yard area and screened by an
opaque fence or hedge so that such items are not visible
from any public right -of -way or adjoining lot. This
provision shall not apply to the regular parking or
storage of licensed and operable motor vehicles, boats,
recreational vehicles and other such vehicles.
Specifically prohibited is the outside storage of
appliances, unlicensed or inoperable motor vehicles,
motor vehicle parts, and equipment and materials used as
part of a business conducted off -site.

1101.02 Office Uses. Outside storage of vehicles, equipment or
materials shall not be permitted for office uses.
1101.03 Commercial Uses. Outside storage of vehicles,

equipment and materials shall be permitted for commercial
uses as specified below:
A. Display of landscape or garden supplies, outdoor
recreational equipment and lawn equipment located in
designated areas approved for such display as part of a
development plan.
B. Display of new and used motor vehicles, boats,
recreational vehicles, mobile homes and other such
vehicles located in designated areas approved for such
display as part of a development plan.
Now C. Storage of licensed and operable motor vehicles, boats,
recreational vehicles and other such vehicles located in
designated areas approved for such storage as part of a
development plan.
D. Display of products customarily used out of doors such as
pools, spas, lawn furniture, concrete fixtures and other
similar items limited to one (1) of any one (1) product
or model.
E. Special sales events permitted under this Code.
F. Storage of inoperable motor vehicles awaiting repair
,, outside screened areas on the site of motor vehicle
repair facilities and motor vehicle service centers,
provided that no such vehicle shall be stored outside the
a screened area for more than thirty (30) consecutive
days.
G. Storage of inoperable motor vehicles awaiting repair
within screened areas on the site of motor vehicle repair
facilities and motor vehicle service centers.

1101.04 Industrial Uses. Outside storage of vehicles,
equipment or materials shall be permitted for industrial
uses as specified below:
A. All storage areas shall be enclosed by an opaque wall,
fence or landscaping of sufficient maturity, density and
height to screen such areas from any public right -of -way
or adjoining property.
B. All equipment or materials shall be secured to withstand
winds.
C. Screening shall not be required around storage areas for
operable motor vehicles and landscape materials.
D. No inoperable motor vehicles shall be stored for a period
exceeding thirty (30) consecutive days outside screened
,,,. areas on the site of motor vehicle repair facilities and
motor vehicle service centers.
PART B. REPEAL OF CERTAIN PROVISIONS OF THE CODE OF
ORDINANCES OF THE CITY OF EDGEWATER, FLORIDA.
Sections 10 -60 through 10 -69 of Chapter 10, Health and
Sanitation of the Code of Ordinances of the City of Edgewater,
Florida, are hereby repealed.

Resolution No. 95 -R -11 Establishing a Procedure for Ex Parte
Communication with City Officials
BACKGROUND:
As the Council is aware, the rules regarding contact with your
constituents changed radically during the past few years as the
result of the Jennings and Snyder decisions. Bills have been
introduced during the past few legislative sessions to address this
matter. In 1995, a bill in reference to this issue was finally
passed and became law without the Governor's signature.
Pursuant to Chapter 95 -352, Laws of Florida, the Florida
Legislature created Section 286.0115, Florida Statutes, which
removes the presumption of prejudice from ex parte (one- sided,
outside of the public hearing process) communications with local
government officials by establishing a procedure for the disclosure
of such ex parte communication. Local government officials are any
elected or appointed officer who recommends or takes quasi - judicial
action. Within the City this would include Council members, LDRA
members and Code Enforcement Board members.
In summary, the procedures set forth in attached Resolution No. 95-
R-11 require disclosure and inclusion in the record before any
final action is taken of any ex parte communication and written
communication relating to quasi - judicial actions. Investigations,
site visits and receipt of expert opinions regarding quasi - judicial
actions would be allowed so long as their existence is made part of
the record before any final action is taken. In addition, the
procedure requires that persons having opinions contrary to the ex
parte communication shall be given a reasonable opportunity to
refute or respond to the communication during the public hearing on
`, the quasi - judicial matter.
RECOMMENDATION /CONCLUSION:
Staff recommends that the Council consider adoption of Resolution
No. 95 -R -11. Enactment of the resolution would not require an
individual member of one of the effected bodies to engage in ex
parte communication, but would instead provide a mechanism for
removing the presumption of prejudice when such communication does

A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF EDGEWATER, FLORIDA, ESTABLISHING A
PROCEDURE FOR EX PARTE COMMUNICATION WITH CITY
— OFFICIALS; REPEALING RESOLUTIONS IN CONFLICT
HEREWITH AND ESTABLISHING AN EFFECTIVE DATE.
WHEREAS, the City Council of the City of Edgewater, Florida,
has made the following determinations:
1. Pursuant to Chapter 95 -352, Laws of Florida, the Florida
Legislature created Section 286.0115, Florida Statutes, which
removes the presumption of prejudice from ex parte communications
with local government officials by establishing a procedure for the
disclosure of such ex parte communication.
2. It is in the best interest of the citizens of Edgewater
that such a procedure to be adopted to enable city officials to
low
fairly and equitably discharge their sworn duties and
responsibilities.
NOW THEREFORE, BE IT ENACTED by the City Council of the City
of Edgewater, Florida:
Section 1. Definition.
As used in this resolution, the term "city official" means any
elected or appointed officer of the City who recommends or takes
quasi - judicial action as a member of a board, commission or
council.
Section 2. Access Permitted.
Any person not otherwise prohibited by statute, charter
provision, resolution or ordinance may discuss with any city
official the merits of any matter on which action may be taken by
any board, commission, or council on which the city official is a
member. Such communication shall not raise any presumption of
prejudice provided the following disclosure procedures are
followed:
(a) The subject and substance of any ex parte communication
with a city official which relates to quasi - judicial action pending
before the official as well as the identity of the person, group,
or entity with whom the communication took place is disclosed and

made a part of the record before final action is taken on the

(b) A city official may read a written communication from any
person. However, a written communication that relates to quasi -
judicial action pending before a city official shall be made a part
of the record before final action is taken on the matter.
(c) City officials may conduct investigations, make site
visits, and receive expert opinions regarding quasi - judicial action
pending before them provided such activities and the existence of
such investigations, site visits or expert opinion is made a part
of the record before final action is taken on the matter.
(d) Disclosure made pursuant to (a), (b) and (c) above must

be made before or during the public hearing at which a vote is to
be taken and persons having opinions contrary to those expressed in
the ex parte communication shall be given a reasonable opportunity
to refute or respond to the communication.
Section 3. Applicability of Part III of Chapter 112
City officials shall not be subjected to the provisions of
Part III of Chapter 112, Florida Statutes, for not complying with
the provisions of this resolution.
Section 4. All resolutions or parts of resolutions in
conflict herewith be and the same are hereby repealed.

Resolution No. 95 -R -12 Extinguishing Drainage Easements on Lot
15136, Block 491 and Lot 15152, Block 492, Florida Shores No. 27.
BACKGROUND:
Attached is a request from Elaine G. Leffler requesting that the
drainage easement on Lot 15136, Block 491, Florida Shores No. 27 be
extinguished. A similar situation exists on Lot 15152, Block 492,
Florida Shores No. 27. The City Engineer and Director of Public
Works have reviewed this request and indicated that the easements
are not part of the proposed drainage plan developed in association
with the Florida Shores Roadway Improvement Project. Accordingly,
they have indicated that it would be reasonable to grant Ms.
Nor Leffler's request. The City Engineer has also suggested that it
would be appropriate to extinguish the easement on Lot 15152 but
for the western most 20 feet in order to continue access to the T6
canal. Although Lot 15136 is vacant, Lot 15136 has been partially
improved.
RECOMMENDATION /CONCLUSION:
Staff requests that the Council consider adoption of Resolution No.
95 -R -12 extinguishing the drainage easements but for the western
most 20 feet on Lot 15152. In addition, Staff recommends that the
applicant be responsible for the costs of recording the resolution.

Dear Ms. Storey,
Ten years ago Pasquale P. Palie and Nancy A. Palie; his daughter,
purchased lots 15133, 15134 and 15135 Block 491 in Florida Shores along
with lot 15136; four (4) buildable lots. Their intent was to build two
houses.
Since then the Palie's have had a change of plans. They put their
lots up for sale with Watson Realty. Merrick Reality received an offer
from a buyer which developed into a contract on these lots.
In surveying the parcels it revealed lot 15136 has an assigned easement
from the original developer to the City of Edgewater. Therefore there are
%ow not two buildable lots, although the Palie's have been paying taxes on all
four lots (see attached).
Therefore, we are requesting the city of Edgewater to vacate or abandon
their easement in and to said lot. Therefore the desired outcome is generating
more revenue by having two homes would be greater than having the property
be vacant.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF EDGEWATER, FLORIDA, EXTINGUISHING A
DRAINAGE EASEMENT ON LOT 15136, BLOCK 491,

IN CONFLICT HEREWITH AND ESTABLISHING AN
EFFECTIVE DATE.
WHEREAS, the City Council of the City of Edgewater, Florida,
has made the following determinations:
1. On behalf of Pasquale P. and Nancy A. Palie, Elaine G.
Leffler has requested the extinguishment of a drainage easement on
Lot 15136, Block 491, Florida Shores No. 27.
2. In reviewing this request, it was determined that a
drainage easement also exists on an adjacent lot, Lot 15152, Block
Now
492, Florida Shores No. 27.
3. The purpose for the drainage easements no longer exists.
4. It is in the best interests of the citizens of Edgewater
that the easements be extinguished, but for the western most twenty
(20) feet on Lot 15152.
NOW THEREFORE, BE IT RESOLVED by the City Council of the City
of Edgewater, Florida:
Section 1. Because the purpose for the drainage easement on
Lot 15136, Block 491, Florida Shores No. 27 no longer exists, that
drainage easement is hereby extinguished.
Section 2. Because the purpose for the drainage easement on

Lot 15152, Block 492, Florida Shores No. 27 no longer exists, but
for the western most 20 (twenty) feet, that drainage easement is
hereby extinguished but for the western most twenty (20) feet.
Section 3. Upon adoption and payment of the costs for
recording by Pasquale P. and Nancy A. Palie /Elaine G. Leffler, this
resolution shall be recorded in the Public Records of Volusia
County and filed with the Volusia County Property Appraiser.
Section 5. All resolutions or parts of resolutions in
conflict herewith be and the same are hereby repealed.

Attached for your review and comments is a letter from Elaine G.
Leffler of Watson Realty along with copies of a survey and plats
regarding the above described property. Ms. Leffler states that
Pasquale and Nancy Palie have owned the property for approximately
10 years and the City has never utilized the 40 ' drainage easement.
On one of the diagrams you will note that the property across the
street has had a house constructed on the existing 40 ' easement.
Ms. Leffler also stated that she thinks the location of the new
retention ponds shown would take the place of the drainage
easement.
On behalf of her clients, Ms. Leffler is requesting that the 40 '
drainage easement be abandoned/abated.
Please review the attached and return your comments to our office
as soon as possible. Based on your findings, this item will be
tentatively placed for the August 21st agenda.

Drainage Easement Abandonment Request

In review of Elaine Leffler's request of the City to abandon an existing drainage easement and
dissolve the City's authority to create drainage related improvements on lot no. 15136 block 491,
it is evident the usefulness of such lot for drainage and stormwater retainage is negligible and
has not been integrated into the proposed Florida Shores paving and drainage project.
I can only speculate why this lot and an adjacent lot to the west (lot 15152, block 492) were
granted to the City as drainage easements. It is apparent the drainage easements were allotted
to supplement the existing drainage canal T6 which discharges to the Turnbull Hammock
drainage basin.
What usefulness can these drainage easements serve today? Of course these easements could
be used to extend the footprint of the proposed retention areas on 33rd Street or could be
connected to such ponds to create off-line treatment, but this technique is a water-quality based
process that does not necessarily help in conveying stormwater or relieve the area of possible
inundation. As the proposed stormwater improvements within the upcoming roadway
improvement project will alleviate flooding and as the easement(s) in question are not part of
the proposed drainage plan it is reasonable to allow abandonment of the easement(s) areas as it
is foreseeable that no further stormwater improvements will be constructed or required in this
vicinity of Florida Shores subdivision.
Under the resolution to abandon lot no. 15136, block 491, the City should also consider
abandoning lot no. 15152, block 492, the latter has already been partially improved. The City
should retain the westerly most 20 feet of lot no. 15152 drainage easement for access to canal
T6.

Both the existing and proposed drainage systems for Florida Shores in the area of 33rd Street and
Yule Tree Drive do not make an active use of the additional forty(40)foot drainage easement as mentioned
in Deed Book 658,page 240.
The construction plans for the drainage improvements for the Road Improvement Project show a
retention area located on the 33rd Street right ow way both east and west of Yule Street.
It would be my feeling that the City would not actively need the entire forty(40) foot easement,
but could utilize an additional ten (10) foot ow working area for retention area maintenance on the north
side of 33rd Street. This would also hold true for the property on the east side of 33rd Street that presently
shows an intrusion with an existing home.
It would be a fore gone conclusion that both property owners would pay all engineering,legal, and
recording costs for any action that the City may take on the existing easement.
The further question would be"Should the City realize any monies for vacating thirty(30)feet of
the existing forty(40) foot drainage easement"? If the City wanted to acquire a thirty(30) foot easement
from one or both of the property owners, the City would be responsible for "fair market value" to the
property owners, unless the owners donated at no cost.
It has been,and will probably continue to be my opinion that this easement,or any other easement,
right ow way,or such,is the property of the residents of the City, and as such we can not"give" it away with
out receiving something of value in return.

Dear Ms. Storey,
Ten years ago Pasquale P. Palie and Nancy A. Palie; his daughter,
purchased lots 15133, 15134 and 15135 Block 491 in Florida Shores along
with lot 15136; four (4) buildable lots. Their intent was to build two
houses.
Since then the Palie's have had a change of plans. They put their
lots up for sale with Watson Realty. Merrick Reality received an offer
from a buyer which developed into a contract on these lots.
In surveying the parcels it revealed lot 15136 has an assigned easement
from the original developer to the City of Edgewater. Therefore there are
not two buildable lots, although the Palie's have been paying taxes on all
four lots (see attached).
Therefore, we are requesting the city of Edgewater to vacate or abandon
their easement in and to said lot. Therefore the desired outcome is generating
more revenue by having two homes would be greater than having the property
be vacant.

CITY OF EDGEWATER
CONTRACT
This Agreement is made and entered into this day of , 1995, by and between
'l.. the City of Edgewater, Florida, hereinafter referred to as the "City" and Professional Service
Industries, Inc., hereinafter referred to as "Consultant ".
PREMISES
WHEREAS, the City desires to retain professional engineering services for soils and materials
testing for the Florida Shores Roadway Improvement Project, and
WHEREAS, the City desires to employ the Consultant in connection thereof upon the terms and
conditions hereinafter set forth, and the Consultant is desirous of obtaining such employment and
has represented that it is qualified and competent to perform such services upon said terms and
conditions.
NOW, THEREFORE, in consideration of the mutual covenants and agreement hereinafter
contained, it is agreed by and between the parties hereto as follows:
1. SCOPE OF PROFESSIONAL SERVICES: The Consultant shall diligently and
timely perform professional services for the City in connection with the Florida Shores Roadway
,.,. Improvements. The Consultant shall provide the City with the services described in Exhibit
"A ", which is attached hereto and incorporated by reference.
2. PAYMENT:
A. Consultant shall provide the services specified in Exhibit "A" for a total
cost not to exceed three hundred thousand dollars ($300,000.00). Consultant shall be
compensated for the actual services rendered on a monthly basis upon the submittal of an invoice
sufficient for auditing purposes specifying the date, the services performed on that date, the
amount of time spent, and the individual performing such service. Consultant shall be paid
based on hourly rates set forth in Exhibit "B ", for those services including laboratory work that
satisfactorily meet or exceed minimum criteria as depicted in the Florida Shores Roadway
Improvement project manual. Exhibit "B" is attached hereto and incorporated by reference.
The City shall render approval or disapproval of services within then (10) working days of the
receipt of written test and material reports accompanied by an appropriate invoice.
B. Consultant shall directly invoice the Contractor, Halifax Paving, Inc., to
receive compensation for services rendered that yield unsatisfactory results in accordance with
minimum standards established within the Florida Shores Roadway Improvement project manual.
A separate billing rate as referenced in Exhibit "C" shall be used when billing the Contractor.
Exhibit "C" shall be structured to indicate the unit price for each test conducted to appropriately
bill the Contractor for failures. Exhibit "C" is attached hereto and incorporated by reference.

C. The bills for any travel expenses, reports, per diem, reproduction cost or
other compensation for services or expenses shall be incorporated within the billing rates
established in Exhibit "B" and accordingly, shall not be billed to the City as additional expenses.
,`, 3. CITY'S RESPONSIBILITY: The City shall: Furnish the Consultant with all
existing data, plans, profiles, and other engineering information available and useful in
connection with the proposed project and now on file with the City. Such materials shall be
returned to the City upon the completion of the services to be performed by the Consultant.
4. CITY'S DESIGNATED REPRESENTATIVE: It is understood and agreed that
the City designates the City Engineer to represent the City in all technical matter pertaining to
and arising from the work and performance of this Contract. The City Engineer's
responsibilities shall include:
A. Examination of all test results, invoices, reports and other documents
presented by the Consultant, and rendering in writing decisions pertaining thereto within a
reasonable time so as not to materially delay the work of the Consultant.
B. Transmission of instructions, receipt of information, interpretation, and
definition of City policies and decisions with respect to design, materials, and other matters
pertinent to the work covered by this Contract.
C. Giving prompt written notice to the Consultant whenever the City observes
N`" or otherwise becomes aware of any defects or changes necessary in the project.
5. CHANGES IN SCOPE: The City may, from time to time, request changes in the
scope of the services of the Consultant to be performed hereunder. Such changes, including
any increase or decrease in the amount of the Consultant's compensation, shall not be binding
unless mutually agreed upon by and between the City and the Consultant, and incorporated in
written amendment(s) to this Contract.
6. TERMINATION OF THE CONTRACT: The City shall have the right at any
time upon thirty (30) days written notice to the Consultant to terminate the services of the
Consultant hereunder and, in that event, the Consultant shall cease work and shall deliver to the
City all documents, including reports, surveys, plans, tracings, specifications, and all other data
and material prepared or obtained by the Consultant in connection with its services hereunder.
The City shall upon delivery of the aforesaid documents, pay to the Consultant and the
Consultant shall accept as full payment for its services hereunder, a sum of money equal to:
A. The fee for each authorized and completed activity shown in Exhibit "A ";
B. Less all previous payments.

7. NON - EXCLUSIVE CONTRACT: The City reserves the right at its sole
discretion to enter into contracts with other consultants to provide similar services as those
identified in the various Scopes of Services.
8. TERMS OF THE CONTRACT: Unless terminated sooner pursuant to the
provisions in Paragraph six (6) and subject to the availability of appropriated funds, this Contract
shall take effect immediately upon its execution by the parties, and is to continue in force for
a period of approximately two (2) years until services in connection with the Florida Shores
Roadway Improvement Project are provided in full.
9. LIABILITY OF THE CONSULTANT: The Consultant hereby does hold the City
harmless for any and all claims, actions, or suits to the extent caused by the Consultant in the
performance of professional services hereunder in conformance with Section 725.06, Florida
Statutes, the specific consideration given for the promises of the Consultant set forth in this
paragraph is one dollar ($1.00) in hand paid by the City to the Consultant, receipt whereof is
hereby acknowledged and the adequacy of which the Consultant accepts as completely fulfilling
the obligations of the City.
10. INSURANCE:
A. The Consultant shall procure and maintain during the life of this Contract
insurance approved by the City of Edgewater of the following types:
1) Worker's Compensation: For all of its employees engaged in work
on the project under this Contract. In case any employee engaged in hazardous work on the
project is not protected under the Worker's Compensation statute, the Consultant shall provide
Employer's Liability insurance for the protection of such of its employees not otherwise
protected under such provisions.
Coverage A - Worker's Compensation - Statutory
Coverage B - Employer's Liability - $100,000.00
2) Liability: Comprehensive General Liability insurance including,
but not limited to:
a) Independent Contractor's Liability;
b) Contractual Liability;
c) Personal Injury Liability.
The minimum primary limits shall be no less than $500,000 /$500,000 Bodily Injury Liability,
and no less than $250,000 Property Damage Liability, or $500,000 Combined Single Limit
Liability, or higher limits if required by the Excess Liability Insurer. The City of Edgewater

shall be named as additional insured.
3) Automobile Liability: Automobile Liability insurance including all
owned, hired, and non -owned automobiles. The minimum primary limits shall be no less than
%r $500,000 /$500,000 Bodily Injury Liability, and no less than $250,000 Property Damage
Liability, or no less than $500,000 Combined Single Limit Liability, or higher limits if required
by the Excess Liability Insurer. The City of Edgewater shall be named as additional insured.
4) Professional Liability: Professional Liability insurance covering
professional services rendered in accordance with this Contract in an amount not less than
$1,000,000.
B. Certificates of Insurance: The Consultant shall furnish to the City
certificates of insurance requiring thirty (30) days written notice of any change, cancellation, or
non - renewal. Such certificates shall contain the following wording: "SHOULD ANY OF THE
ABOVE DESCRIBED POLICIES BE CANCELLED BEFORE THE EXPIRATION DATE
THEREOF, THE ISSUING COMPANY WILL MAIL THIRTY (30) DAYS NOTICE TO THE
CERTIFICATE HOLDER NAMED HEREIN ". If the insurance policies expire during the term
of the Contract, a renewal certificate shall be filed with the City thirty (30) days prior to the
renewal date.
11. NEGOTIATION DATA: The Consultant hereby certifies, covenants, and
l,.y warrants that wage rates and other factual unit costs supporting the compensation provided in
Paragraph 2 are accurate, complete, and current as of the date of negotiation. It is further
agreed that said Contract price provided in Paragraph 2 shall be adjusted to exclude any
significant sums where the City shall determine the Contract price has been increased due to
inaccurate, incomplete, and non - current wage rates and other factual unit costs. All such
Contract adjustments shall be made within one (1) year following the date of final billing or
acceptance of the work by the City in writing, whichever is later. Records of costs incurred
under the terms of this Contract shall be maintained by the Consultant and made available to the
City during the period of this Contract, and for one (1) year after the final payment is made.
Copies of these documents and records shall be furnished to the City without cost.
12. OWNERSHIP OF DOCUMENTS: It is understood and agreed that all
documents, including detailed reports, plans, field notes, daily construction logs, laboratory
reports, specifications, and all other data, prepared or obtained by the Consultant in connection
with its services hereunder shall be delivered to, and shall become the property of the City prior
to the final payment to the Consultant. The Consultant shall not be liable for any use by the
City of said documents or data if modified in any manner without written approval of the
Consultant. The City shall not use the Consultant's drawings on any project other than the
*low project described in the Scope of the Work unless the City notifies the Consultant of its intended
use, provides insurance protection for the Consultant for all claims which might arise out of the
City's use of the documents, and obtains written consent of the use by the Consultant.

13. WORK COMMENCEMENT/PROGRESS/DELAYS:
A. The services to be rendered by the Consultant shall commence subsequent
to the execution of this Contract.
B. In the event there are delays on the part of the City or regulatory agencies
as to the approval of any of the plans or permits which delay the project schedule completion
date, the City shall grant to the Consultant in writing an extension of the Contract time equal
to the aforementioned delays. The City shall be solely responsible for determination of whether
any extension of the Contract time should be awarded to the Consultant.
C. The Consultant shall maintain an adequate and competent staff of
professionals and may associate with other qualified firms for the purpose of rendering services
hereunder, without additional cost to the City upon the written consent of the City.
14. STANDARDS OF CONDUCT:
A. The Consultant warrants that he has not employed or retained any company
or person, other than a bona fide employee working solely for the Consultant to solicit or secure
this Contract, and that he has not paid or agreed to pay any person, company, corporation,
individual, or firm other than a bona fide employee working solely for the Consultant any fee,
commission, percentage, gift, or other consideration, contingent upon or resulting from the
Now award of this Contract.
B. The Consultant covenants that it or any of its employees presently has no
interest and shall not acquire any interest, direct or indirect, financial or otherwise, that would
conflict in any manner or degree with performance of services hereunder.
C. Standards of Conduct -- Conflict of Interest - -The Consultant agrees that it
and its employees shall be bound by the Standards of Conduct provided in Section 112.313,
Florida Statutes, as it relates to work performed under this Contract, which standards will by
reference be made a part of this Contract as though set forth in full. The Consultant agrees to
incorporate the provisions of this paragraph in any subcontract into which it might enter with
reference to the work performed.
D. The City reserves the right to cancel and terminate this Contract, without
penalty, in the event that the Consultant or any employee, servant, or agent of the Consultant
is indicted or has any direct information issued against him for any crime arising out of or in
conjunction with any work being performed by the Consultant for or on behalf of the City. It
is understood and agreed that in the event of such termination, that the Consultant shall be
low compensated for services rendered under this Contract up to the time of termination in
accordance with Paragraph 6 hereof. The City also reserves the right to terminate and cancel
this contract in the event that the Consultant shall be placed in either voluntary or involuntary
bankruptcy or an assignment be made for the benefit of creditors.

15. COMPLIANCE WITH FEDERAL, STATE, AND LOCAL LAWS: The
Consultant shall comply with all Federal, State, and Local laws and ordinances applicable to the
work or payment for work thereof, and shall not discriminate on the grounds of race, color,
religion, sex, or national origin in the performance of work under this Contract.
16. ASSIGNABILITY: The Consultant shall not assign any interest in this Contract,
and shall not transfer any interest in same, whether by assignment or novation, without the prior
written approval of the City, provided that claims for the money due or to become due the
Consultant from the City under this Contract may be assigned to a bank, trust company, or other
financial institution, or to a trustee in bankruptcy, without such approval. Notice of any such
assignment or transfer shall be furnished promptly to the City.
17. INDEPENDENT CONTRACTOR: It is hereby mutually agreed that the
Consultant is and shall remain an independent contractor and not an employee of the City.
18. CONTROLLING LAW: All questions pertaining to the validity and interpretation
of this Contract shall be determined in accordance with the laws of Florida applicable to
contracts made and to be performed within the State. Venue shall rest solely in Volusia County,
Florida.
19. ENTIRE AGREEMENT: This Contract constitutes the entire agreement between
the parties with respect to the subject matters. All prior agreements, representations, statements,
`r negotiations, and undertakings are hereby superseded. Any alterations or variations of the terms
of this Contract shall not be valid unless made in writing and signed by the parties. If any term
or provision of this Contract shall be found by a court of competent jurisdiction to be illegal or
unenforceable, then, notwithstanding, the remainder of the Contract shall remain in full force
and effect.
20. ATTORNEY'S FEES: If the City is required to institute or defend any legal
proceedings in connection with this Contract, the Consultant agrees to pay the costs thereof,
together with reasonable attorney's fees for the City's attorney in the event such legal
proceedings are terminated in favor of the City.

The objective of the services are to provide the City support for inspection, geotechnical and
materials testing of construction materials and products for the Florida Shores Roadway
Improvement project. In execution of it's services the Consultant will work and coordinate it's
activities with the City and the City's designated construction administration representative,
Quentin L. Hampton Associates. Inc.
The Consultant shall provide administrative and technical support to assist the City in performing
inspection, geotechnical and materials testing of construction materials and products from time
to time as requested by the Project Manager during the length of this contract.
As referenced in the contract, the Consultant services shall begin upon written notice of the City
Engineer or his designee and shall be completed within two (2) years or final completion of the
Florida Shores Roadway Improvement project.
The Consultant's services shall be required relative to sampling, recording of data, reporting,
inspection and testing of bituminous materials, soil cement, aggregate, water, soils, shellrock
°r..• and concrete as provided by the Florida Shores Roadway Improvement's project manual as
prepared by Dyer, Riddle, Mills & Precourt, Inc. and amended by Quentin L. Hampton
Associates, Inc.
Consultant services shall include, but are limited to, the providing of qualified representation to
assist the Department as follows:
As requested on the project the Consultant shall assist the City and the
construction administrative representative, Quentin L. Hampton Associates, Inc.
Consultant shall provide all transportation, manpower, equipment and materials
to perform the appropriate inspections and laboratory tests according to applicable
specifications.
The job description and project requirements shall include, but not be limited to, the following:
• Core, mark and retain samples of asphaltic concrete pavements and determine
thickness, type and condition of pavement.
' v • Provide qualified personnel in sampling bituminous material according to FM 1-
T -040.

BACKGROUND:
Pursuant to discussion at the November 21, 1994 Council meeting,
attached is a proposed Addendum Number 3 to the Continuing Services
Agreement with Quentin L. Hampton Associates, Inc. in the amount of
$19,875.00 for services provided during the bid period for the
Florida Shores Roadway Improvement Project. The purpose of these
services was to complete the work remaining when the City
terminated its relationship with DRMP.

the City designates the City Engineer ultimately to represent the City in all technical matte;

A. Examination of all test results, invoices, reports and other documents
presented by the Consultant, after submittal and review by Quentin L. Hampton Associates, Ii .
and rendering in writing decisions pertaining thereto within a reasonable time so as not to
materially delay the work of the Consultant.
B. Transmission of instructions, receipt of information, interpretation, and
definition of City policies and decisions with respect to design, materials, and other matters
pertinent to the work covered by this Contract.
C. Giving prompt written notice to the Consultant whenever the City observes
or otherwise becomes aware of any defects or changes necessary in the project.
5. CHANGES IN SCOPE: The City may, from time to time, request changes in the
scope of the services of the Consultant to be performed hereunder. Such changes, including
any increase or decrease in the amount of the Consultant's compensation, shall not be binding
unless mutually agreed upon by and between the City and the Consultant, and incorporated in
written amendment(s) to this Contract.
6. TERMINATION OF THE CONTRACT: The City shall have the right at any
time upon thirty (30) days written notice to the Consultant to terminate the services of the
Consultant hereunder and, in that event, the Consultant shall cease work and shall deliver to the

Bid award for Seawall Cap at Kennedy Park.
BACKGROUND:
The seawall and cap at Kennedy Park was constructed over 20 years
ago. The wall appears to be in good shape, however, the cap that
holds the wall in place has deteriorated to the point of being
unstable. The concrete has cracked, exposing rusted rebar. In
some places rebar has broken away from dead -man, causing us to
have emergency repairs done to hold the wall in place.
RECOINDATION /CONCLUS ION :
Sealed bids were opened August 7, 1995. Daytona Dock and Seawall
Service was the low bid for $16,500.00. This company has
performed work for the City in past with satisfactory results.
Inspection of the site uncovered a small section of cap that was
not included in the bid packet. Upon this discovery, I conferred
with the low bid contractor and asked for an additional price to
include with the bid as a change work order. This additional
cost was $1,700.00. The change order is for removal and
replacement of approximately 10 feet of cap on the northeast
corner. Staff recommends that City Council award the bid with
the change order to Daytona Dock and Seawall Service for the
total amount of $18,200.00

The City Council, of the City of Edgewater, Florida, is
seeking sealed bids for the replacement of concrete seawall
cap at Kennedy Park. The services will include removal of
existing cap, sidewalk, rebar and replacing with material
and labor for approximately 252 ft. of new concrete cap
located on the East and South sides of the park.
Bid packets with specifications may be obtained by;
submitting a written statement of interest to City Clerk,
104 North Riverside Drive, Edgewater, FL or by mailing a

KENNEDY PARK SEAWALL RENOVATION
PROJECT DESCRIPTION:
The City of Edgewater plans to replace approximately 252 ft.
of concrete cap holding the seawall at Kennedy Park. The
section to be replaced is the entire East side and a portion
of the South side. The existing cap is to be removed and
hauled away by Contractor, rebar replaced and sidewalk
replaced. Kennedy Park is located at 103 North Riverside
Drive, Edgewater, Florida.
SCOPE OF SERVICES:
I. Remove existing concrete seawall cap, rebar and sidewalk;
and replace with material and labor as shown on Drawing. •
A. Drawing shows location and placement of
sidewalk and cap.
B. Drawing shows size and location of "Deadman"
to be placed.

The present IBM RT System has supported City operations for the
last six years. In the world of technology, which is changing
rapidly and becoming more powerful, this is a long time and so
the City needs to upgrade to a more powerful and streamlined
system. We should not allow technology to get too far in front of
us and therefore I recommend that this purchase be approved.
Over the last six years the City's data processing operations
have increased and we anticipate the same for the future. We are
,,, about to undertake another major capital improvement project, the
paving and drainage improvements, which comes on the heels of
major water and sewer capital improvements.
The cost is manageable and should be undertaken soon. After a
discount of $4,987 (19.53 %), the City will need to pay $20,547
for the system (including the 1.2GB Streaming Tape Drive) and
$5,000 for file conversion and data transfer - a total cost of
$25,547. Annual maintenance savings on these two components will
be $702.
The purchase total of $25,547 can be financed through IBM at 8.0%
per year over 60 months with monthly payments of $518. But, I
would recommend that this purchase be paid by the two assessments
(sewer and paving), since monies were included in the assessment
process for payment of administrative expenses.
This would be a way for the General Fund to recover some of the
cost of managing these assessment rolls. I would allocate this
cost between sewer ($15,174,827 divided by $21,701,869 = 70 %) and
paving ($6,527,042 divided by $21,701,869 = 30 %) assessment based
on their relative assessment amounts as of 5/31/95 - Sewer (Fund
42) will pay $17,882.90 and Paving (Fund 30) will pay $7,664.10
for a grand total of $25,547.
Currently staff backs up everyday. Back up is started at the end
of day (4:30 pm) and an hour later the second tape runs for 15 -20
minutes. The new system will cut this back up to less than 40
minutes. In addition, the RS /6000 will accomplish all processing
tasks in a faster manner.
The proposed IBM RS /6000 is superior to the present IBM RT System
in many significant ways. Some of them are as follows:
SPEED
The RS /6000 will provide faster thruput because of its newer
technology and because it comes with 32MB of memory as
opposed to the RT's 4MB.
MAINTENANCE
As with all computer equipment, the annual maintenance keeps
increasing. The annual maintenance on the RS /6000 will be
significantly less than on the RT - annually $900 versus
$1,470. Also, the annual maintenance on the streaming tape
back up system will be $192 versus $324.
COMPATIBILITY
The RS /6000 is compatible with ALL of our current peripheral
equipment (ie, terminals, printers, etc.).
SOFTWARE UPGRADE AVAILABILITY
As the City knows, most software development has been
terminated (our current WordPerfect version will not be
upgraded) on the RT system whereas RS /6000 software
continues to be updated and many software applications are
being developed for the RS /6000.
PRODUCT LIFE CYCLE
The RT System's life cycle is finished, which causes many
problems including parts for repairs and repair technicians
who know the system - these drive up the cost and timeliness
of maintenance. The RS /6000 is in the middle of its life
cycle with several more years of new models and
enhancements.
STATE CONTRACT PURCHASE
The City can avoid the bid process since the RS /6000 is on
the State Contract.

City policy provides for cancelling or rescheduling regular
meetings that fall on national holidays.
RECOMMENDATION /CONCLUSION:
41110 Council's decision. If meeting is cancelled and matters of an
urgent nature occur, a special meeting could be called to take care
of that business.
