RESOLUTION 2009-R-28
A RESOLUTION OF THE CITY COUNCIL OF
EDGEWATER, FLORIDA, DETERMINING THAT THE
PURCHASE OF THE PERSIMMON PLACE WATER AND
WASTEWATER SYSTEM IS IN THE PUBLIC INTEREST,
AUTHORIZING THE EXECUTION OF A CONTRACT FOR
SAID PURCHASE AND PROVIDING AN EFFECTIVE DATE.
WHEREAS, as required by Section 180.301, Fla. Stat. (2008), the City Council of the City
of Edge water, Florida has held a public hearing on the purchase ofthe Persimmon Place water and
wastewater system; and
WHEREAS, the City Council has considered each ofthe ten (l0) factors specified in Section
180.301, Fla. Stat. (2008); and
WHEREAS, City staff has prepared the statement required by said statutory provisions; and
WHEREAS, the City Council finds the purchase of the Persimmon Place water and
wastewater system to be in the public interest.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF EDGEW ATER, FLORIDA:
Section 1.
Authorization. That the Mayor and the City Manager are hereby authorized
and directed to execute the Contract for Sale and Purchase between the City of Edgewater and the
Persimmon Place Homeowner's Association, Inc., a copy of which is attached hereto and
incorporated herein by reference.
Section 2.
Effective Date. That this Resolution shall take effect immediately upon its
adoption.

CLOSING AFFIDAVIT
BEFORE ME, the undersigned authority, duly authorized to take acknowledgments and administer
oaths, personally appeared MERRIE BETH LANE, as Vice President of PERSIMMON PLACE
HOMEOWNER'S ASSOCIATION, INC., a Florida corporation ("Affiant"), ("Seller"), who deposes and
says under penalties of peIjury that:
1. Seller is the owner of certain real property (the "Property") described as follows:
SEE EXHIBIT "A" A IT ACHED HERETO AND BY REFERENCE MADE APART HEREOF
2. There have been no improvements, alterations or repairs to the Property during the last ninety
(90) days, for which the cost thereof remains unpaid, except for those improvements made by the City of
Edgewater.
3. Seller is in full, exclusive, open, peaceful and undisputed possession of the Property, and
there are no tenants, guests, licensees or other parties in or on any part of the Property.
4. There are no matters pending against Seller that would give rise to a lien which would attach
to the Property between December 09, 2009, and the recording of the interest to be insured on the Owner's
Policy to be issued pursuant to the title commitment issued to the City of Edgewater for the Property (the
"Title Commitment"). Except as expressly stated in the Title Commitment, Seller has not and will not
execute any instruments that would adversely affect the interest to be insured and Seller has not taken any
action preceding the Effective Date of the Commitment which would result in any lien attaching to the
Property prior to the date of the recording of the instrument to be insured.
5. The Seller is active and in good standing, no proceeding is pending for its dissolution or
termination and Affiant is its duly appointed and serving officer with authority to bind the Seller. Affiant
gives this affidavit on individual knowledge and on behalf of the Seller.
6. There are no judgments, mortgages, encumbrances or liens of any nature affecting the
Property other than those shown on the Title Commitment.
7. No other persons or entities have an ownership interest in the above described property
8. Affiant has the authority to sign this affidavit on behalf of entity Seller. Under penalties of
peIjury, Affiant states that this declaration was carefully read and is true and correct.
9. This affidavit is given for the purpose of clearing any possible question or objection to the
title to the above referenced property and, for the purpose of inducing OLD REPUBLIC NATIONAL TITLE
INSURANCE COMPANY ("Old Republic") and JAMES M. KOSMAS ("Agent") to issue title insurance on
the subject property, with the knowledge that said title companies are relying upon the statements set forth
herein. Affiant, individually and on behalf of Seller, hereby holds Old Republic and Agent harmless and
fully indemnifies same (including but not limited to attorneys' fees, whether suit be brought or not, and at
trial and all appellate levels, and court costs and other litigation expenses) with respect to the matters set
forth herein.
10. Affiant further states that she is familiar with the nature of an oath and with the penalties as
provided by the laws of the United States and the State of Florida for falsely swearing to statements made in
an instrument of this nature. Affiant further certifies that he/she has read, or heard read, the full facts of this
Affidavit and understands its context.

CONTRACT FOR SALE AND PURCHASE
THIS CONTRACT FOR SALE AND PURCHASE (the "Contract"), is entered into by and
between the CITY OF EDGEW A TER, a municipal corporation duly incorporated pursuant to the
laws of the State of Florida, with its principal place of business located at 104 Riverside Drive,
Edgewater, Florida 32132 (hereinafter "City"), and PERSIMMON PLACE HOMEOWNER'S
ASSOCIA TION, INC., a Florida corporation, with its principal place of business located at 232
North Ridgewood Avenue, #5, Edgewater, FL 32132 (hereinafter "PPHA").
WHEREAS, on July 24, 2009, the parties hereto entered into that certain "Agreement
Between the City of Edgewater and Persimmon Place Homeowner's Association, Inc. for Repair and
Improvement of Wastewater Collection Facility" (the "Agreement") for the repair and improvement
of the wastewater collection system located on the common areas of PPHA, and in connection
therewith agreed that upon completion by the City of the services described in the Agreement,
ownership and maintenance responsibilities of the utility system including the real property as more
particularly described on Exhibit "A" attached hereto, and such personal property as may be affixed
thereto or otherwise used in connection therewith as more particularly described on Exhibit "B"
attached hereto, would be transferred and conveyed to the City; and
WHEREAS, the City and PPHA desire to enter into this Contract for the furtherance of such
purposes as are stated herein, and in accordance with all appropriate laws and regulations;
NOW, THEREFORE, in consideration of the mutual promises contained herein, and for one
dollar and other good and valuable consideration in hand paid, the receipt of which is hereby
acknowledged, the parties agree as follows:
1. Purpose. The purpose ofthis transaction is to transfer to the City all ofthe property,
equipment, rights and obligations, other than outstanding debts, composing and attaching to PPHA's
water and wastewater collection system at the Persimmon Place subdivision and owned by PPHA.
2. Water and Wastewater System. PPHA hereby agrees to convey by Bill of Sale to the
City the real property as described on Exhibit "A" attached hereto, and the personal property
including all pumps, motors, electric controls, and all parts of the sewer lift station, sewer force
main, sewer gravity collector, water supply lines up to the water meters and other property as
described on Exhibit "B" attached hereto. PPHA will provide to the City's finance director a
valuation statement for the real property and equipment conveyed herein, which statement shall be in
such form as required by the City's auditors and adequate for all financial reporting requirements of
the City.
3. Permits. At the time of closing, PPHA will make written assignment to the City of all
operating permits for the wastewater treatment facilities. The parties agree to cooperate fully in the
processes necessary to complete the transfer of permits.
4. Easements. At the time of closing, PPHA will grant to the City easements over all
lands, streets, roads and rights-of-way within the Persimmon Place subdivision necessary for the City
to maintain, install and replace any and all portions of the water and wastewater collection system.
5. Land. PPHA will convey by warranty deed to the City all right, title and interest in
the real property upon which the wastewater lift station and equipment is erected, as depicted and

described in Exhibit "A" hereto.
6. Title Insurance. Within thirty (30) days of the date of execution of this Contract,
PPHA wi11 deliver to the City a title insurance commitment with fee owner's title policy premium to
be paid by PPHA at closing. The coverage of the title policy sha1l be in an amount equal to the fair
market value of the real property.
7. Purchase Price. As consideration for the aforementioned property and equipment
being acquired by virtue of this Contract, the City agrees to pay to PPHA the total purchase price of
$1.00.
8. Closing. Date and Location. This transaction sha1l be closed and the deed and other
closing documents delivered on or before th~t~-+ day of ~~~009, unless extended by other
provisions of this Contract. Closing sha1l be held at the Edgewater City Ha1l, 104 East Riverside
Drive, Edgewater, Florida 32132.
9. Taxes. PPHA wi11 pay to the Volusia County Property Appraiser any and a1l ad
valorem real property and tangible property taxes at closing in accordance with the procedure
described in Section 196.295, Fla. Stat. (2008), with respect to those taxes assessed against any and
a1l of the lands and personality being conveyed pursuant to this Contract.
10. Assignability. The City may not assign this Contract.
11. Liens. At the time of closing, PPHA sha1l furnish to the City an affidavit attesting to
the absence of any financial obligations, claims oflien or potential liens known to PPHA and further
attesting that there have been no improvements or repairs to the property, other than those completed
by the City, for ninety (90) days immediately preceding the date of closing. If the property has been
improved or repaired, other than those completed by the City, within said time, PPHA wi11 deliver

releases or waIvers of mechanic's liens, executed by all general contractors, subcontractors,
suppliers, and materialmen performing said improvements or repairs. PPHA's affidavit shall also
set forth the names of all such general contractors, subcontractors, suppliers and materialmen and
further recite that all bills for said improvements and which could serve as a basis for a mechanic's
lien or a claim for damages have been paid or will be paid at closing.
12. Documents for Closing. PPHA will furnish all documents necessary for closing of
this transaction.
13. Expenses. PPHA shall be responsible for payment of all documentary stamps and
recording feeds necessary for the closing of this transaction, including the cost of recording any
corrective instruments.
14. Liabilities: Pending Litigation. It is specifically agreed that any and all pending
claims, disputes, lawsuits and appeals therefrom, as well as any outstanding judgments upon or
involving in any manner the real and/or personal property being conveyed pursuant to this Contract
on or before closing shall be the sole responsibility ofPPHA and the City shall be fully indemnified
and held harmless from and against all such matters, whether known at said time or whether they
become known at a later date. It is specifically agreed that any and all claims, disputes, lawsuits, and
appeals therefrom, as well as any judgments which may be rendered upon or involving in any manner
the real and/or personal property being conveyed pursuant to this Contract, which matters arise from
occurrences following the closing hereunder, shall be the sole responsibility of the City and PPHA
shall be fully indemnified and held harmless from and against all such matters. This paragraph shall
survive the closing and remain in full force and effect until the expiration of the appropriate
limitations period for any given items.

15. General. This Contract shall bind and inure to the benefit of the parties hereto and
their successors in interest. Whenever the context permits, singular shall include plural and one
gender shall include all.
16. Approval. This Contract shall not be valid until approved by the City Council ofthe
City of Edgewater, following the public hearing as required by Section 180.301, Fla. Stat. (2008),
and until approved by the Board of Directors of Persimmon Place Homeowner's Association, Inc.
17. Other Agreements. No prior or present agreements or representations shall be binding
upon the parties unless included in this Contract. No modification or change to this Contract shall be
valid or binding upon the parties unless in writing and executed by the party or parties to be bound
thereby.

RECIPROCAL EASEMENT AGREEMENT
THIS RECIPROCAL EASEMENT AGREEMENT (the "Agreement") is made and entered into on
the day and year last set forth below, by and between PERSIMMON PLACE HOMEOWNER'S
ASSOCIATION, INC., a Florida non-profit corporation, whose mailing address is 232 N. Ridgewood
Avenue, #5, Edgewater, Florida 32132 (the "HOA"), and the CITY OF EDGEW A TER, a Florida municipal
corporation, whose mailing address is P.O. Box 100, Edgewater, Florida 32132-0100 (the "CITY").
(Whenever used herein the terms "HOA" and "CITY" include all the parties to this instrument and the heirs,
legal representatives and assigns of individuals, and the successors and assigns of partnerships, corporations,
public bodies and quasi-public bodies.)
WIT N E SSE T H:
WHEREAS, HOA is the owner of that certain real property located in Volusia County, Florida, more
particularly described in Exhibit "A" attached hereto and incorporated herein by reference (the "HOA
PROPERTY"); and
WHEREAS, CITY is the owner of that certain real property located in Volusia County, Florida, more
particularly described in Exhibit "B" attached hereto and incorporated herein by reference (the "CITY
PROPERTY"); and
WHEREAS, CITY has requested, and HOA has agreed, to grant and convey to CITY, a perpetual
easement over, upon and across the HOA PROPERTY for the specific and limited purposed hereinafter set
forth; and
WHEREAS, HOA has requested, and CITY has agreed, to grant and convey to HOA, a perpetual
easement over, upon and across the CITY PROPERTY for the specific and limited purposed hereinafter set
forth;
NOW THEREFORE, in consideration of the mutual covenants, promises, terms and conditions set
forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, the parties hereto agree as follows:

Section 1. The above recitals are true and correct, form a material part of this Agreement and are
incorporated herein by reference.
Section 2. HOA hereby gives, grants, bargains, sells and conveys to CITY a perpetual easement
over, upon and across the HOA PROPERTY for the purposes hereinafter stated (the "CITY EASEMENT"),
all subject to the terms, conditions, and limitations set forth herein.
Section 3. CITY hereby gives, grants, bargains, sells and conveys to HOA a perpetual easement
over, upon and across the CITY PROPERTY for the purposes hereinafter stated (the "HOA EASEMENT"),
all subject to the terms, conditions, and limitations set forth herein.
Section 4. HOA hereby warrants and guarantees to CITY that HOA has fee title to the HOA
PROPERTY, subject to easements, reservations, restrictions, and rights-of-way of record, if any, and that
HOA has full power and authority to grant this easement as to the HOA PROPERTY.
Section 5. CITY hereby warrants and guarantees to HOA that CITY has fee title to the CITY
PROPERTY, subject to easements, reservations, restrictions, and rights-of-way of record, if any, and that
CITY has full power and authority to grant this easement as to the CITY PROPERTY.
Section 6. CITY's use of the CITY EASEMENT shall be for the purpose of CITY, through itself,
its agents, contractors, consultants and employees performing such activities on the CITY EASEMENT as
CITY may deem reasonably necessary in connection with the installation, maintenance, operation and repair
of certain utilities, including, but not limited to, a lift station, sewer lines, water lines and water meters
together with the rights, easements, privileges and appurtenances in or to said land which may be required
for the full enjoyment of the rights herein granted. The CITY EASEMENT, rights and privileges granted
herein shall be perpetual.
Section 7. HOA's use of the HOA EASEMENT shall be for the purpose of HOA, through itself,
its members, agents, contractors, consultants and employees performing such activities on the HOA
EASEMENT as HOA may deem reasonably necessary in connection with the installation, maintenance,
operation and repair of certain utilities, including, but not limited to, irrigation lines, together with the rights,
easements, privileges and appurtenances in or to said land which may be required for the full enjoyment of
the rights herein granted. The HOA EASEMENT, rights and privileges granted herein shall be perpetual.
Section 8. Both the HOA EASEMENT and the CITY EASEMENT are non-exclusive, and each
party hereto reserves to itself, its successors and assigns, the non-exclusive right to use, pass and repass over
and upon the HOA EASEMENT and the CITY EASEMENT. Each party hereto shall use the rights granted

EASEMENT and the CITY EASEMENT.
Section 9. To the extent permitted by law, CITY agrees to indemnify and hold harmless HOA
from and against any and all claims, actions, causes of action, loss, damage, injury, liability, cost or expense,
including without limitation attorneys' fees (whether incurred before, during or after trial, or upon any
appellate level), legaly determined to arise from the City's negiligence in use of the CITY EASEMENT;
however, nothing contained herein shall allow any claim which would have otherwise been barred under the
doctrine of sovereign immunity, the protections contained within section 768.28, Fla. Stat. Or operation of
law.

Section 10. To the extent permitted by law, HOA agrees to indemnify and hold harmless CITY
from and against any and all claims, actions, causes of action, loss, damage, injury, liability, cost or expense,
including without limitation attorneys' fees (whether incurred before, during or after trial, or upon any
appellate level), arising from HOA's use of the HOA EASEMENT or from the exercise by the HOA of any
rights granted by this Agreement.
Section 11. This Agreement shall be binding upon and inure to the benefit of the parties specified
herein, their respective legal representatives, successors and assigns, and the benefits and burdens hereof
shall run with the HOA EASEMENT and the CITY EASEMENT.
Section 12. This Agreement may be modified or amended only upon the mutual written consent of
HOA and CITY, or their respective legal representatives, successors and assigns.
