'-" ...., CITY COUNCIL OF EDGEWATER WORKSHOP/SPECIAL MEETING FEBRUARY 25, 1991 MINUTES Mayor Wessler called the meeting to order at 7:30 p.m. in the Community Center. ROLL CALL Mayor Tanya Wessler Councilman Kirk Jones Councilperson Louise Martin Councilperson NoraJane Gillespie Councilman Michael Hays Interim City Attorney Nikki Clayton City Manager Elly Johnson City Clerk Susan Wadsworth Police Chief Lawrence Schumaker Present Present Present Present Present Present Present Present Present Resolution 91-R-9 Establishing special assessment district (initial assessment resolution) - Ms. Clayton distributed drafts of the resolution and ordinance for discussion. She explained the assessment ordinance will require action tonight and the resolution is an example of what they'll be adopting on March 11th. She further explained the ordinance establ ishes the City's abil ities pursuant to Home Rule powers to establishing an assessment district and other kinds of assessment district, such as that considered for Florida Shores. She said it's a general ordinance that can be used for Florida Shores or any other kind of special assessment in the City in the future. She explained Florida Shores would have a combination of special assessments pledged to the repayment of bonds to repay the State Revolving Funds and possibly the acceptance of some prepayments that will be used to retire obligations against the State under the SRF loans. She pointed out there are a series of techniques in the ordinance that they'll be able to pick and choose among to finance particular projects in the future. She said the ordinance and resolution spell out certain steps to be taken and the resolution will describe the project. Councilperson Gillespie asked if these two actions meet all requirements for the State Revolving Fund loans. Ms. Clayton replied the action on March 11, which is second reading of the ordinance and adoption of the assessment resolution will comply with what DER said about the good faith effort on the part of the City to be sure they want to go forward with the program and they need this proof. She pointed out even if they adopt the initial assessment resolution, that does not mean they adopt the final assessment resolution, but it means they're starting the program and if it's done by March 11th, they'll benefit from State funding if they do decide to complete the program. She explained some situations will require special consideration and Council may want to discuss a public education program in an informal way so people can understand what's developing and begin to understand the process. Mayor Wessler asked if it's after the resolution. Ms. Clayton said yes and it can be dealt with in an informal process and people will have a chance to understand what's happening. Ordinance 91-0-1 re: special assessments for certain capital improvements and issuance of bonds - Councilman Hays asked if the blank on page 4 will have the name of CIP. Ms. Clayton explained he1s looking at the one for first reading and on page 5 is a description. Councilman Hays said 4.09 payment of assessment it says any prepayment will be only with applicable interest and Council by resolution may determine the time when prepayment may be made and amount of interest. Ms. Clayton explained it says some programs will have prepayment and some will have prepayments that will require interest. She explained if they prepay in cash there will be no premium or interest charge and if they want to se 11 the house in the future and pay up front, there wi 11 be some way to calculate and figure interest to date and any premium for handling because the property appra i ser wi 11 have to note his records and they'll have a number directly related to cost of processing any prepayment. Councilman Hays said it will be a mechanism for those that want to save their money between now and then. Ms. Clayton agreed. - >\ '-" ...., Ordinance 91-0-1 re: s ecial assessments for issuance of bonds Continued) Councilman Hays asked if there were any changes on 4.11. Ms. Clayton replied no. Councilman Hays discussed his concern regarding estimates being over- estimated and getting into this and finding they have to raise it because numbers weren't correct. He asked if those who put the numbers together should be held responsible for this. Ms. Clayton said they're dealing with an ordinance and it will govern any special assessment situation and in the resolution they may want to say something about special payments. She noted they want to have a cont ingency allowed for and they want it authorized and they have to give reasonable assurance to the public. Councilman Hays said he likes the part that if it's less they could reduce the assessment or repay but he has a problem if it I S over, and asked if it wi 11 be addressed in a reso 1 ut i on. Ms. Clayton replied yes. Councilman Hays asked about section 4.14 regarding a procedure by which the lien of an assessment may be apportioned. Ms. Clayton explained if they did the Florida Shores project and had to finance a portion with bonds they issued and then another area wants to do a special assessment program and wants to have a bond issue, the City could find out this area won1t be able to pay for the entire cost of the project so the City will have to look for other sources of revenue. She added people holding the bonds in this area don1t want their security to be subjected to a second later project endangering them. Councilman Hays asked about 6.03 regarding variable rate bonds if interest collected is less. Ms. Clayton replied when they have a variable rate they may have lag time and may have collected more interest and other times not enough to take care of future payments so you're enabled by this to develop a surcharge that will be added to a bill up to the maximum interest rate they could have charged to get back up to the point they're receiving enough from payers to cover the cost of interest on the variable bonds. Councilman Hays asked if it's based on a mean over a period of years. Ms. Clayton replied she's not worked with variable rates but when you get to issue where you1re doing variable rates youlll have a lot more detailed discussion but they1re not at a point or aren't contemplating getting into to. She added it means you're supposed to make up your shortfall by up to the maximum amount of interest allowed by law. Councilperson Gillespie asked about page 21 if they miss someone on the assessment roll, they still have the option to pick them up because Florida Shores is partially sewered and they'll have half a street here and there. Ms. Clayton explained it says you pick them up and correct the mistake and omission. Councilman Jones said Section 4.10 on page 17, lien of assessments, is it if someone is delinquent for one year it's like the taxes where it goes for auction. Mr. Livengood replied anything that appears on the tax bill doesn't have the option of picking and choosing and they have to pay the entire amount due or the entire amount is delinquent and a tax certificate sold for that entire amount and it's equal dignity as ad valorem tax. Ms. Clayton said they'll have to pay that and the 18%. Mr. Livengood agreed. Councilperson Gillespie reviewed Mr. Mansfield's briefing her and Councilman Jones on when they secure SRF loans they're automatically in place by the State to the property appearing on the role. Ms. Clayton said this spells out how they deal with it. Mr. Ferland pointed out the SRF people will not file any liens automatically, they're looking to the City to do it with the Property Appraiser and the bond resolution will be that way. Ms. Clayton stated they won't file liens but they'll have documents that say there will be a lien. Mr. Livengood pointed out the lien is against the assessment revenue the City will receive that they in turn will use for repayment of the SRF loans. Ben Vasquez, said he resides at 1907 S. Atlantic, but temporarily residing with mother-in-law on Needle Palm and acting as her representative. Mr. Vasquez asked Council to require the City Attorney to explain legality of ordinance 91- 0-1 and resolution 91-R-9. He specifically referred to page 5, section 1.02 of the ordinance, Findings, and page 1 of the resolution, Authority. He questioned using 166, the home rule power, as a means of accomplishing a capital improvement program throughout a taxing district. He said only the State or County has authority to create a taxing district and he questions 166 being used to set up a taxing district in order to initiate a special assessment. He spoke at length about his and their attorney's interpretations of the Statutes, including filing of objections in writing with the City Clerk. He questioned authority for the section that says if the project exceeds the estimate cost Council may increase the amount at their option. He said it also appears in section 6.11 on refunding bonds that Council may increase assessments. He stated special assessment may not exceed the benefit. Mr. Vasquez spoke on section B-4 of the resolution, City Participation. He submitted object ions signed by other peop 1 e and read the object ions. He requested Mayor Wessler sign a receipt for this. Ms. Clayton stated the City Clerk wi 11 note that and he can come back tomorrow for a copy. Mr. Vasquez stated he wants this to be a public record of the City and he read the names and addresses. (Copies attached) Ms. Clayton stated he did a lot of work but there are some misapprehensions but there wi 11 be fixed assessments as th i s project goes through and there's a provision in B-4 about everyone having to make written objections and submit them for the record. She noted everyone will be able to make oral objections also. She stated Council can designate any part of the City that can be geographically defined as a special assessment. Mr. Vasquez stated the State doesn't require a referendum for special taxing districts. Ms. Clayton agreed. Mr. Vasquez asked why they have to vote for the Library and County. Ms. Clayton explained the Library will be a general ad valorem tax and this will be an assessment where you'll have special benefit that will be received by each property owner that will pay and the library is taxpayers in general. She said there's a different format with a special benefit applicable to the property that receives the benefit and there's no need for referendum and where you collect general taxing authority then you have a referendum and in order to bond that you also have to have another referendum and it depends on the type of revenue and how you want to levy it. She reviewed the 1963 Home Rule Powers authority. Mr. Vasquez said in absence of any law on the books, the City doesn't have the right to tax these people. Mayor Wessler stated it's apparent he and the attorney disagree so they won't argue and he gave his point. Mr. Vasquez stated he has a right to answer her. Mayor Wessler suggested he talk to the attorney tomorrow since he wants her to show him the law which authorizes the City to create a district and put the burden on Florida Shores. Ms. Clayton agreed she would. Mayor Wessler asked it be before the 11th. Mayor Wessler read the Ordinance. Ord.91-0-1 - AN ORDINANCE RELATING TO THE FLORIDA SHORES AREA OF THE CITY OF EDGEWATER, FLORIDA; RATIFYING AND AFFIRMING THE CREATION OF AN IMPROVEMENT AREA WITHIN THE CITY; AUTHORIZING THE ACQUISITION AND CONSTRUCTION OF CERTAIN CAPITAL IMPROVEMENTS WITHIN SUCH IMPROVEMENT AREAS; AUTHORIZING THE LEVY AND COLLECTION OF ASSESSMENTS FOR THE PURPOSE OF ASSESSING PROPERTIES WITHIN THE IMPROVEMENT AREA FOR THE ACQUISITION AND CONSTRUCTION OF CAPITAL IMPROVEMENTS WITHIN THE IMPROVEMENT AREA; AUTHORIZING THE ISSUANCE OF BONDS OR OTHER EVIDENCE OF INDEBTEDNESS AT AN INTEREST RATE NOT TO EXCEED THE MAXIMUM INTEREST RATE ALLOWED BY LAW, SECURED BY THE ASSESSMENTS TO PROVIDE FUNDS FOR CAPITAL IMPROVEMENTS WITHIN THE IMPROVEMENT AREA; ESTABLISHING THE INTEREST RATE FOR ASSESSMENTS; SETTING FORTH THE PROCEDURE FOR LEVYING ASSESSMENTS; PROVIDING FOR COLLECTION OF ASSESSMENTS; PROVIDING THAT ASSESSMENTS MAY BE PREPAID UNDER CERTAIN CONDITIONS; SUPERSEDING CERTAIN ORDINANCES AND RESOLUTION RELATING TO SUCH IMPROVEMENT AREAS; AND PROVIDING AN EFFECTIVE DATE. Council- person Gillespie questioned the word being lIareall in one place and "areasll in another. Mayor Wessler replied this says they can do it in the future. Counc il person Mart i n so moved. Counc il person Gill esp i e seconded the mot i on. Motion CARRIED 5-0. Authorization for City Clerk to advertise Ordinance 91-0-1 re: special assessments - Council person Gillespie moved to advertise and meet all legal requirements for advertising of 91-0-01. Councilman Hays seconded the motion. Ms. Clayton asked if they intend to use both newspapers. Councilperson Gillespie said that was the Mayor's suggestion at the last meeting. Ms. Clayton said it1s not a legal requirement but they may want to do it in the interest of getting coverage. Councilperson Gillespie amended her motion to be advertisement in the Daytona Beach News Journal and New Smyrna Beach News Observer. Councilman Hays seconded the amendment. Motion CARRIED 5-0. 3 Council Workshop/Special Meeting February 25, 1991 '-" ...." Agreement between City and Jose' B. Alvarez - Ms. Clayton stated she and Mr. Alvarez agreed to delete from the draft certain language and it provides he would hold the City harmless and he had asked in exchange that the City agreed to hold him harmless. She said they couldn't agree on that because she felt it was his obligation to hold the City harmless but the City shouldn't have to hold harmless because they paid him and it was his responsibility to perform. She said that it doesn't substantially deviate from the agreement and she recommended they accept it. She added she doesn't believe there will be any opportunity for the attorney to raise issues and it would be difficult to argue with the assessment of this agreement that terminates his services with the City and she can think of nothing else held have to complain about because there's nothing like vacation or employee benefits. She noted the City does retain it's option in the future if something should develop, and they have retained those rights. Mayor Wessler asked if everything he has that the City paid for will be returned. Ms. Clayton replied yes and she looked it over today. Councilman Hays expressed concern with dates of the contract because possibly needing files or information in the future, such as on a pending case. Ms. Clayton said they discussed that and it says he will be available for consultation for the orderly transition of the City1s legal affairs and transition of legal files and pending matters and that doesn't end March 5th. Councilperson Gillespie asked who handles the open cases. Ms. Clayton said she is and there aren't that many open of active litigation, just 3, with other open files. Councilman Jones asked about City owned items. Ms. Clayton replied they have an inventory from invoices and some of the books are his. Councilperson Gillespie asked if they're cancelling the dedicated phone line and subscriptions immediately. Ms. Clayton said yes, it should have already been done. Ms. Clayton requested a vote to accept the contract agreement simply because of the change unless they have questions about it. Councilperson Gillespie moved to accept the Legal Services Agreement presented to them this evening concerning Josel Alvarez. Councilperson Martin seconded the motion. Motion CARRIED 4-1. Councilman Jones voted NO. Mayor Wessler called a 10-minute recess at 8:25 p.m. She called the meeting back to order at 8:36 p.m. Discussion and possible action re: City Attorney/applications Mayor Wessler stated she had Mr. Munoz give them a figure since October, 1989 for legal fees and it was $115,288 annually and the smooth out CIP fees are $140,091.15. Mr. Johnson explained that figure was arrived by taking the total legal fees for CIP and dividing it by 16 months and that's for 12 months. Councilman Jones pointed out they actually paid $39,750 to Mr. Alvarez and they had other legal expenses with Greenburg of $56,000 for the CIP plus some legal expenses were a one time deal and they won't face those expenditures every year. Mayor Wessler noted the $56,000 was for Greenburg's help with the wellfield special exception and that won't come up again but they'll be into the CIP Program and there wi 11 be numerous problems that wi 11 need legal counsel. Councilman Jones stated that bottom figure isn1t a true figure. Ms. Clayton agreed some years they'll have difficult issues but they're on the verge of beginning a couple of large programs. She referred to averaging out prior years figures and problems with the Comp Plan, CIP, and special assessments. Councilman Hays said he thinks past legal fees each year were close to that amount. There was discussion regarding fees over the past 3 years and the BAN issues. Councilman Jones suggested they decide if they want in house or full time or part time. Mayor Wessler said when LDRA calls theylll pay the attorney at the rate they set and you have to add in everything they'll charge. She said full time in house is an attorney that deals with this City, sitting here, and if they want to go to a firm or outside attorney, that1s outside help. Ms. Clayton said they can call firms at any hour of the week and they'd answer the phone but they'd have other clients and the real issue is between whether you want a firm or individual outside who will have other clients as well or if they believe the work they have for the City could benefit from the undivided attention of a lawyer with some experience who could have the services on call of a senior attorney for things he hasn't dealt with in the past. She said they have to 4 Council Workshop/Special Meeting February 25, 1991 " '-' ...", Discussion and possible action re: City Attorney/applications (Continued) decide if they want a requirement of experience with emphasis in litigation or community relations or do they want someone to give them undivided attention, has good judgement of where to look for answers, meet with LDRA and others, and help citizens understand the legal process. She added the numbers would warrant someone in house. Councilperson Martin asked if they have enough work for in house 8 hours a day because most board meetings are in the evenings. She asked if that would cost extra. Ms. Clayton noted professional people don't get overtime. Mr. Johnson pointed out the full time attorney could work with the Codes when not tied up with other things. Mayor Wessler said she talked with the attorney in New Smyrna Beach and he said although his budget looks big he works 8 to 5 and then goes to all the meetings and functions outside the City and on the average he makes less than $25 an hour. She noted Edgewater wi 11 bypass New Smyrna Beach on growth and will have more problems in the next 5-10 years. Councilman Jones said held like a full time attorney because it's difficult to get answers when you have to call or go see an attorney but figures show they can have a full time attorney with what they're paying now, but if they financially cannot, then they should go in the other direction. Ms. Clayton agreed with Mr. Johnson's statement because there are so many things they can do that are preventab 1 e that cou 1 d avo i d extra expend i tures. She referred to the land purchase and wellfield incident. Councilperson Gillespie said New Smyrna Beach pays $45,232 for in house and they're close to our population. She said there are good people in this County to go to if they ran into something the in house attorney couldn't handle. Mayor Wessler said by getting a full time in house they'd have a senior attorney he could turn to if needed. Councilman Hays asked if they'd look for a senior attorney or a group of attorneys with different areas of expertise that might be a resource pool for this person versus going to one person for an environmental question and another for land development. Mayor Wessler said a firm would be better because they could keep it all in one house but she doesn't think they have to pay them to be on call. Ms. Clayton stated with a senior attorney you wouldn't have to specify that to begin with. She questioned where they advertised and if it were specific enough. She suggested they go to Florida League of Cities, City and County Attorneys I Association, and the Bar News and advertise at least twice and then see what kind of experience is available and at what price. Councilperson Gillespie suggested they go back out and advertise as Ms. Clayton recommended. Mayor Wessler asked if Council agrees they want to go in house full time. Ms. Clayton said if they go back out and advertise she doesn't want to be self serving. Councilman Jones said if it's not going to work, they can change it and they'll look at a contract that will suite Edgewater and not the attorney's needs. Mayor Wessler agreed they could change and go back if applications are out of their range. Ms. Clayton suggested she draft an advertisement and she'll probab ly put a range and wi 11 try to have it under her report on the 4th. Councilperson Martin said applications mostly showed high rates. Councilperson Gillespie said one was $45,-50,000. Councilman Hays said it's important when they advertise to not only give a range but some specifics of what they'd expect of the person and the goals. Councilman Jones moved they advertise for a full time City Attorney and go out for bids and once they get the applications in they may want to go full time in house attorney. Councilperson Martin seconded the motion. Motion CARRIED 5-0. Councilperson Gillespie suggested they help Ms. Clayton put together the ad by giving her a draft of what they want in an attorney. Ratification of Public Employees Association contract Councilperson Gillespie moved they accept the contract as ratified. Councilman Jones seconded the motion. Motion CARRIED 5-0. Mr. Johnson expressed appreciation for being able to resolve this and cancel the impasse. Councilperson Martin said until the budget hearings are complete she'd like to move to freeze all departments of any additional personnel, pending or not. Mayor Wessler questioned this since they were talking about PEA and it's not on the agenda. Mr. Johnson said the only positions they1re filling are 4 positions they approved in the budget hearings for fire fighters. Councilperson Gillespie asked about the Police officer. Mr. Johnson said the replacement was hired because of reserve status. Councilperson Gillespie said this is just the Fire Department and she seconded the motion. Ms. Clayton asked to have it on the agenda for the 4th because it's a matter of administration and it's not on this agenda, but it can come up since it's a regularly noticed meetings and legally it's quite all right. Mayor Wessler asked when they1re due to be hired. Mr. Johnson said they were hired already and went through physicals. Mayor Wessler asked if they've started work. Mr. Johnson said they signed up. Mayor Wessler asked if they1re due to start before the March 4th meeting. Councilperson Martin said she thought they were starting March 1st. Mrs. Wadsworth stated she's sworn 3 in already. There was discussion if Council wanted them not to start work. Councilperson Martin said the last Council hired as many paid firemen as they wanted and put 4 extra on and maybe they1re not utilizing the other firemen who should get their hours in and perhaps they shou 1 d do these 4 unt il they fin i sh the budget. Mayor Wessler asked if Mr. Johnson could postpone the starting date. Mr. Johnson said if they were hired and sworn in they'll have a problem but to clarify this it1s important to have George Barlow from the volunteers speak to them because of some misinterpretations. Ms. Clayton questioned what swearing in means and Mrs. Wadsworth explained it. Mr. Johnson said most had to give notice. Councilperson Martin asked what the payroll will be with these people as it's now over $100,000 a year. Mr. Johnson said helll get this information but they discussed this and Council said to proceed only with firefighters and the rest of the positions would be frozen. He added they're talking about an additional $60,000 or less in salaries. Councilperson Gillespie asked if they had 4 firefighters in the August budget hearings and cut it to 2. Mr. Johnson said it was 6 and went to 4 and they set a time schedule of 24 hours a day 5 days a week. Councilman Hays asked how many full time firefighters there will be. Mr. Johnson said 11 and that's the fire inspector also. Councilman Hays asked if it covers EMT's and the Rescue truck. Councilman Jones noted this was in the budget and accounted for and it's 24 hours a day protection Monday through Friday with medical EMT1s versus medical technicians. He added they have 53 in New Smyrna Beach 7 days and 24 hours. He stated the volunteers have been doing a good job but they're trying to lessen a burden on a service that's a dire need in this community. Councilperson Gillespie said she has a problem with recognition of the Volunteer Fire Department and in the past they had 45 volunteers and functioned well and long and hard but they're not getting the recognition or cooperation they deserve for the job they do. Mayor Wessler asked that George Barlow and Bill Vola attend Monday night's meeting. Councilperson Martin asked to go back to putting volunteer badges on their uniforms so people know who's giving their time. Councilman Hays said when they started putting on full time paid firefighters the understanding was these firefighters would come on during the day to cover hours when volunteers are at their jobs but this is a metamorphosis and it1s evolved into something different. He said some of the people concerned feel they1re being pushed out and they've served this City well and worked hard for years. He said the volunteers need a fair shake and it could develop into a bigger problem but they can diffuse it. Councilperson Gillespie said if it's going to cause a legal problem for those that gave notice at another job, she'll withdraw her second to the motion. Councilperson Martin withdrew her motion. Mayor Wessler said he can hold off until March 4th if he wasn't sworn in. Councilman Hays moved to adjourn. Councilperson Gillespie seconded the motion.
