A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
EDGEWATER, FLORIDA, AUTHORIZING THE CITY
MANAGER TO EXECUTE THE TRANSPORTATION
OUTREACH PROGRAMAGREEMENT RELATING TOTHE
TOPS GRANT BETWEEN THE CITY OF EDGEWATER AND
THE FLORIDA DEPARTMENT OF TRANSPORTATION
(FDOT) RELATING TO THE REALIGNMENT OF AIR PARK
ROAD; PROVIDING FOR THE CITY CLERK TO TRANSMIT
TO FLORIDA DEPARTMENT OF TRANSPORTATION;
REPEALING RESOLUTIONS IN CONFLICT HEREWITH;
AND PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, the City of Edgewater, Florida, has evidenced the desire to enter into the
Transportation Outreach Program Agreement relating to the realignment of Air Park Road with the
Florida Department of Transportation (FDOT).
NOW, THEREFORE, be it resolved by the City Council ofthe City of Edgewater, Florida:
Section 1. The City Council hereby authorizes the City Manager to execute the
Transportation Outreach Program Agreement (TOPS Agreement), Contract No. AM 204, Financial
Project No. 412979-1-38-01 relating to the realignment of Air Pak Road.
Section 2. The City Clerk is hereby designated to forward a certified copy of this Resolution
and two (2) original Agreements executed by the City of Edgewater to the Florida Department of
Transportation upon execution by the City Manager.
Section 3. All resolutions or parts of resolutions in conflict herewith be and same are hereby
repealed.
Section 4. This resolution shall take effect upon adoption.

TRANSPORTATION OUTREACH PROGRAM AGREEMENT
THIS AGREEMENT is between the State of Florida, Department of Transportation, herein
referred to as the Department and CITY OF EDGEWATER, FLORIDA herein referred to as the
Agency.
WHEREAS, the Department has the authority by virtue of §339.137, Florida Statutes, and
the Agency has the authority to enter into this agreement and has taken the necessary formal
action of the Agency to enter into this agreement, and
NOW THEREFORE, in consideration of the mutual covenants and promises contained
herein, the parties agree as follows:
1.0 Purpose of the Agreement. The purpose of this agreement is to provide funding to the
Agency to complete the project that is described in Exhibit "A" hereto which is made a part
hereof.
2.0 Accomplishment of the Project.
2.1 General Requirements. The Agency shall commence and complete the project as
described in Exhibit "A" with all practical dispatch, in a sound, economical and efficient manner
and in accord with the provisions hereof and with all applicable laws, rules, statutes and
regulations.
2.2 Authorization of Agency. In the event any election, referendum, approval, permit, notice
or other proceeding or authorization is requisite under applicable law to enable the Agency to
enter into this agreement or to undertake the project hereunder or to observe, assume or carry
out any of the provisions of the agreement, the Agency will initiate and consummate, as provided
by law, all actions necessary with respect to any such matters so requisite. The Agency hereby
warrants and represents to the Department that it has in fact taken all such action and that it has
secured all such approvals necessary to undertake the project and to enter into this agreement.
2.3 Funds of the Agency. The Agency shall initiate and prosecute to completion all
proceedings necessary including federal aid requirements to enable the Agency to provide the
necessary funds for the project.
2.4 Submission of Documents. The Agency shall submit to the Department such reports,
contracts and other documents relating to the project as the Department may reasonably require.
The Agency shall produce said papers in a prompt manner.
3.0 Project Cost. The total estimate cost of the project is $926,730.00. The Department
hereby agrees to provide funding to the Agency in the amount of $150,290.00 under the terms
of this agreement. The total amount of the project cost is based on the estimate and project
budget that has been received and reviewed by the Department, a copy of which is attached
hereto as Exhibit "B". If the Agency intends to secure additional funds from parties that are not
a parry to this agreement, then the Agency hereby represents and warrants to the Department
that the additional funds are available and have been secured by the Agency.
4.0 Department Participation. The amount of the Department's funding indicated in
Paragraph 3.0 above is the maximum participation of the Department. Nothing herein shall be
construed to compel the Department to contribute any additional funds.
4.10 Project Cost Eligibility. Project costs eligible for Department participation will be allowed
only from and after the effective date of this agreement. It is understood that Department
participation in eligible project costs is subject to:
(a) Legislative approval of the Department's appropriation request in the work
program year that the project is scheduled to be committed.
(b) Availability of funds as stated In Exhibit "B" hereto.
(c) Approval of the plans, specifications, contracts, or other obligating documents
and all other terms of this Agreement.
(d) Department approval of the project scope and budget as described herein.
5.0 Project Budget and Payment.
5.1 Project Budget. A project budget shall be prepared by the Agency and said budget being
reviewed and approved by the Department prior to the expenditure of any costs. The Agency
shall maintain said budget, carry out the project and shall incur obligations against and make
disbursement of project funds only in conformity with the latest approved budget for the project.
No budget change shall be effective unless approved by the Department's Comptroller in writing.
The project budget is included in Exhibit "B" hereto.
5.2 Payment Provisions. Unless otherwise allowed herein, payment will begin or will be
made in the year the project or project phase is scheduled in the work program as of the date of
this agreement. Payment will be made for actual costs incurred as of the date the invoice is
submitted with the final payment being due upon receipt of a proper invoice submitted to the
Department.
6.0 Financial Records, Accounting Records and Audit Reports. Financial records,
accounting records and Audit Reports shall be kept and made as required in Exhibit "C" hereto.
7.0 Payment Requests and Obligations.
7.1 Payment Requests of the Agency. In order to obtain payment of any Department funds,
the Agency shall file with the Department of Transportation, District Five, Special
Projects Supervisor, Attention Tom Moscoso, at 719 South Woodland Boulevard,
Deland, Florida 32720, on a form or forms provided by the Department. All requests for
payment shall be accompanied by sufficient documentation to support the payment request.
Invoices for fees or other compensation for services or expenses shall be submitted in sufficient
detail sufficient for a proper preaudit and postaudit thereof. No invoices for travel expenses shall
be paid hereunder.
7.2 Department Obligations. The Department will honor such payment requests in amounts
and at times deemed by the Department to be proper to ensure the carrying out of the project
and for the payment of eligible costs. However, notwithstanding any other provision of this
Agreement, the Department may elect by notice in writing not to make a payment on the project
if:
7.21 Misrepresentation. The Agency shall have made misrepresentation of a material nature
in its application or any supplement or amendment thereto, with respect to any document of data
furnished therewith.
7.22 Litigation. There is pending litigation with respect to the performance by the Agency or
any of it duties or obligations which may jeopardize or adversely affect the project, the
agreement or payments to the project.
7.23 Approval by Department. The Agency shall have taken any action pertaining to the
project which, under this agreement, requires the approval of the Department or has made
related expenditures or incurred related to obligations without having been advised by the
Department that the same are approved.
7.24 Conflict of Interests. There has been any violation of the conflict of interest provisions
contained herein; or
7.25 Default. The Agency has been determined to by the Department to be in default under
any of the material provisions of this agreement.
7.26 Federal Participation. Any federal agency providing federal financial assistance to the
project suspends or terminates federal financial assistance to the project. In the event of
suspension or termination or federal financial assistance., the Agency will reimburse the
Department for all disallowed costs.
8.0 Disallowed Costs. The Department will disallow all project costs incurred by the Agency
prior to the effective date of this agreement, costs which are not provided for in the latest
approved budget for the project, and costs attributable to goods or services received under a
contract or other arrangements which have not been approved in writing by Department.
9.0 Payment Offset. If, after project completion, any claim is made by the Department
resulting from an audit or for work or services performed pursuant to this agreement, the
Department offset such amount from payments due for work or services due under any
agreement of the Agency with the Department, if upon demand, payment of the amount is not
made within sixty (60) days to the Department. Offsetting amounts shall not be construed as a
breach of contract by the Department.

10.0 Termination or Suspension of Project. If the Agency, for any reason whatsoever, fails
to complete the project, the Department will have the right to suspend all further performance by
the Department until it decides, in its sole discretion, to direct that the Agency to begin
performing again. In the alternative, the Department has the right, in its sole discretion, to
terminate further performance hereunder. Upon written notice of suspension or termination, the
Agency shall comply with instructions from the Department to carry out actions the Department
deem to be necessary.
11.0 Compliance with Public Records Law. The Department reserves the right to
unilaterally cancel the agreement for refusal by the Agency or its consultants or contractors to
allow public access to all documents, papers, letters or other material subject to the provisions of
Chapter 119, Florida Statutes and made and received In conjunction with this agreement.
12.0 Contracts of the Agency. The Agency shall, upon request, provide to the Department
copies of all third party agreements that it enters into under the terms of this agreement. The
Department specifically reserves the right to review the qualifications of any consultant or
contractor and to approve or disapprove the employment of the same.
12.1 Consultants' Competitive Negotiation Act. The Agency's attorney shall certify in
writing to the Department that selection of all professionals falling within the purview of Chapter
287.055, Florida Statues, have been selected in compliance with the Consultant's Competitive
Negotiation Act.
12.2 No Third Party Obligation. The Department shall not be obligated or liable hereunder
to any party other than the Agency.
13.0 Project Completion & Agency Certification. The Agency will certify in writing on or
attached to the final invoice, that the project was completed in accord with applicable plans and
specifications.
14.0 Term of Agreement. The effective date of this agreement shall be The

expire and no further performance or payment by the Department shall be due.
15.0 Final Invoice. The Agency must submit the final invoice on this project to the
Department within 120 days after the expiration of this agreement. Invoices submitted after the
120 day time period will not be paid.
16.0 Public Entity Crime. Pursuant to §287.133(2)(a), A person or affiliate who has been
placed on the convicted vendor list following a conviction for a public entity crime may not submit
a bid, proposal or reply on a contract to provide any goads or services to a public entity; may not
submit a bid, proposal or reply on a contract with a public entity for the construction or repair of
a public building or public work; may not submit bids, proposals or replies on leases of real
property to a public entity, may not be awarded or perform work as a contractor, supplier,
subcontractor or consultant under a contract with any public entity, and may not transact
business with any public entity in excess of the threshold amount provided in s. 287.017 for
CATEGORY TWO for a period of 36 months following the date of being placed on the convicted
vendor list.

Air Park Road is a collector facility currently maintained by Volusia County. It runs between
West Park Avenue and S.R. 442. This proposed project would realign the section of the road
that comes close to the Massey Ranch airstrip. The realignment will put the road at an adequate
distance from the airstrip to allow for development of the land between the airstrip and Air Park
Road.
Project Location:
Air Park Road is located between West Park Avenue and S.R. 442. The northern half of the
roadway is within the city limits of Edgewater and the southern half of the roadway is in
unincorporated Volusia County. The section of the road which is the subject of this application is
within the northern half of Air Park Road.

Benefits: Please summarize how this project promotes economic growth and competitiveness,
promotes intermodal transportation linkages for passengers and freight, broadens transportation
choices or preserves existing transportation infrastructure.
The northern half of Air Park Road is within the City of Edgewater's planned Community
Redevelopment Area (CRA) with the southern half making the connection to S.R. 442. The
planned realignment will allow more development in the vicinity of the airstrip and within the
CRA by creating more usable parcels. With the current alignment, there are many remnant
parcels that will not be able to be developed. The realignment will create more developable
parcels that will help the viability of the CRA. This will be prime commercial and industrial
property that will add to Edgewater's economy and that of the surrounding communities.
Because this project will be within the CRA and adjoining the airport, it is realistic to say that this
road will promote intermodal transportation linkages. Many of the existing businesses in this
area are related to the airport or use its services. The project preserves the existing
transportation infrastructure in that this roadway is already an important part of the transportation
network in that area and will become more so as the CRA develops. Air Park Road along with
West Park Avenue are the main thoroughfares within the planned CRA. Because Air Park Road
links to SR. 442 near the interchange with 1-95, this project is critical to the success of the CRA.

1. Supports the Edgewater Comprehensive Plan: The Comp Plan's Future Land Use
Element discourages urban sprawl and encourages redevelopment. This road project
will help to develop the commercial/industrial area surrounding the airport which is
currently planned for a Community Redevelopment Area.
2. Air Park Road is listed in the Edgewater Comprehensive Plan's Transportation Element
as a Major Thoroughfare, as are the roads located at each end of Air Park Road (West
Park Avenue and S.R. 442).

Yes, it is not inconsistent with all appropriate local comprehensive plans. The roadway as it currently exists is
an important collector facility. It is currently located in Edgewater and in unincorporated Vol usia County. This
project would simply realign part of the road to allow for more development in the vicinity of the airstrip. The
project should be undertaken since it would otherwise leave many remnant parcels in an area that will be
commercially and industrially developed as part of Edgewater's CRA. The City of Edgewater's
Comprehensive Plan lists Air Park Road as a Major Thoroughfare.

A. The project must promote economic growth and competitiveness. Enhancing Florida's
economic growth and competitiveness is defined as ensuring that state transportation investments
promote economic activities which result in development or retention of income generative industries
which increase per capita eamed income in the state, and that such investments improve the state's
economic competitiveness. (A maximum of 10 points can be awarded for this section).
q. Describe how this project will result in the development and/or retention of income generative
industries, which increase per capita eamed income in your region.
a. This project will create more acreage for development within the planned Community
Redevelopment Area which is slated for commercial and industrial development. These
businesses will employ people in Edgewater and surrounding communities. They will be new
businesses or expansions of existing businesses. There is a good likelihood that the businesses
will be aviation-related or count on the airport for their business needs.
q. Describe how this project will improve your regions' economic competitiveness.
a. By creating a commerciallindustrial park surrounding the airport, Edgewater will add to its
employment base. The creation of additional developable parcels will help Edgewater market the
Community Redevelopment Area as an attractive place for businesses to locate. It is in a great
location with Air Park Road adjoining S.R. 442 which then connects to Interstate 95. The
realignment will allow for commerciallindustrial development on both sides of Air Park Road. It
will also help increase use of Massey Ranch Airport, creating more aviation-related businesses.
q. How will this project affect and enhance the regional or state tax base?
a. The planned Community Redevelopment Area is approximately 600 acres. Currently, most of
this land is undeveloped. The City of Edgewater is in the process of planning the infrastructure
in the CRA area to support a business park that can take advantage of the airport and the
railroad line that runs along its border. The successful development of this area will bring many
additional businesses to the region thereby enhancing the regional and state tax base.
q. How will this project enhance economic productivity for the community it serves?
a. This project will enhance economic productivity for the community it serves by creating more
available land for development, thereby increasing the probability of new businesses and
additional employment opportunities. The airport will also help to create a marketable
commercial park for businesses with clients beyond the Edgewater and Volusia County area.
q. What retum on investment will the State of Florida receive if this project is funded at the
requested amount?
a. The State of Florida can assist in maximizing the marketability of this CRA by investing in this
part of the infrastructure. The $150,290 that is being requested represents less than 20 percent
of the overall project. This will allow the project to be completed in a timely fashion, before any
development makes the realignment not feasible. The State will benefit by the increased tax
base from new businesses that this project will create by opening up more property that can be
developed. Without the realignment there would be a significant amount of undevelopable land.
q. At your option, please comment on other ways the project will promote economic growth and
competitiveness.
r. By realigning the road to open up land for development adjacent to the airport, the prospect of
economic growth increases because of the opportunity to use this additional mode of
transportation to move freight.
B. The project must promote intermodal transportation linkages for passengers and freight. The
Department defines this as improving access for passengers and freight to interrnodal facilities, such as
commercial airports and seaports. It can also mean improving the ability to transfer between different modes
of transportation, such as an interrnodal center where passengers can get off a bus and transfer to a train, or
freight moving from the ship in the seaport to a rail yard, or from a ship to a truck to a warehouse/distribution
center. (A maximum of 10 points can be awarded for responses in this section).

q. Describe how the project promotes intermodallinkages (both direct and indirect) for passengers
and/or freight?
a. This roadway project will be part of a Community Redevelopment Area that includes both an
airport and a railroad line. The development of the parcels that will be created by realigning Air
Park Road may be related to or dependent upon the airport and the railroad for the success of
their businesses. There is a great possibility that freight coming to or from their businesses will
rely on these other modes of transportation.
q. Describe how this project improves access and/or connections to regionally significant
intermodal facilities such as seaports, airports, cargo facilities and rail terminals?
a. This project improves the possibility that businesses in the area will use both the airport and
railroad. It does this by creating more land for development within the Community
Redevelopment Area right next to the airport.
q. At your option, please comment on other ways this project serves to connect different travel
modes.
C. The project must broaden transportation choices for Florida residents, visitors, and
commercial interests in order to ensure efficient and cost-competitive mobility of people, services and
goods. Mobility is defined as ensuring a cost-effective, statewide, interconnected transportation system. (A
maximum of 10 points can be awarded for responses in this section).
q. Describe how this project will result in increasing "through-put" of either passengers or freight
on the facility and describe how this is determined.
a. The realignment of Air Park Road with the resulting larger development parcels will enable the
City of Edgewater to limit access points to the road, thereby reducing intersection and driveway
conflicts as well as traffic congestion. This will help in increasing "through-put" for passengers,
an.d especially for freight for the truck traffic that is expected.
q. Describe how this project will improve the quality of the trip for either passengers or freight and
describe how this is determined.
a. The new roadway section will allow for better access management. The commercial/industrial
parcels along its length will have more depth, and therefore more options for driveway locations.
The quality of the trip will be improved for truck traffic in that more room will be available for
ingress and egress. The quality of the trip will be improved for passengers due to less conflicts
with traffic trying to get on and off the road
q. Describe how this project will address travel safety for freight and/or passengers.
a. The realignment of this section of the roadway will allow for improved design, including a limited
number of driveway cuts. This improved design will better address safety issues for both
passengers and freight.
q. Please comment on any other quantitative measures of increased mobility or broadened
transportation choices.
a. The proximity of this project to the airport is important. Aviation could play an important role in
the development of the additional created by realigning the roadway. The airport will provide
greater mobility of goods and broadened transportation choices for the businesses.

including local, state, federal, toll and/or private matching funds.
a. The City of Edgewater has already spent more than $25,000 on initial planning for this proposed
project. It has also worked with landowners in the area to ensure that right-of-way can be
acquired at no cost. Both of these efforts equal the dollars requested from the State for PD&E
and Final Design. All together, the City of Edgewater will contribute $776,440 towards the project.
The City is asking the State to assist by paying less than 20 percent of the overall cost of the
project.
E. The project must promote preserving the existing transportation infrastructure. (A maximum
of 5 points can be awarded for responses in this section.)
q. Describe how this project will contribute to preserving the existing transportation infrastructure.
a. The roadway is already in place, thus this project will preserve the existing transportation
infrastructure. The realignment will improve that section of the road's design and will create
more usable property within the Community Redevelopment Area.
F. The Council may, at its discretion, award an additional maximum of 5 points for unique
factors.
q. Describe additional factors you believe make your project unique. This can include items such
as a location on a major freight corridor, the fact that you received Fast Track or TOP funding in
prior years, or that it addresses a unique priority need in your area.
a. The most unique factor for this project is its potential to greatly enhance the marketability of the
Community Redevelopment Area (CRA). The CRA has many things in its favor. It is located
very close to Interstate 95, with a direct connection to S.R. 442. It has access to an airport and
railroad. The City of Edgewater vitally needs this roadway project funded in order to open up
important land for development and to attract commercial and industrial employment in a well-
planned and professionally-designed business park. With the property along this alignment
currently undeveloped, this is the perfect time to do the project to have it in place. The road is
already listed as a Major Thoroughfare for the City of Edgewater so an improved design will
immediately improve the traffic flow in the area and it will be in place as businesses develop
along its corridor.
The important part of this project right now is timing. Currently, the property along this section of
Air Park Road is undeveloped. Along with the long term benefits of having additional parcels to
develop, the short term benefits include being able to move the road section before any
development occurs making the project either more costly or not feasible.

Financial Records, Accounting Records and Audit Reports
Vendors Rights: Vendors (in this document identified as Agency) providing goods and services
to the Department should be aware of the following time frames. Upon receipt, the Department
has five working days to inspect and approve the goods and services unless the bid
specifications, purchase order or contract specifies otherwise. The Department has 20 days to
deliver a request for payment (voucher) to the Department of Banking and Finance. The 20 days
are measured from the latter of the date the invoice is received or the goods or services are
received, inspected, and approved.
If a payment is not available within 40 days after receipt of the invoice and receipt, inspection,
and approval of goods and services, a separate interest penalty in accordance with Section
215.422(3)(b), Florida Statutes, will be due and payable in addition to the invoice amount to the
Agency. Interest penalties of less than one dollar will not be enforced unless the Agency
requests payment. Invoices that have to be returned to an Agency because of Agency
preparation errors will result in a delay in the payment. The invoice payment requirements do not
start until a properly completed invoice is provided to the Department.
A Vendor Ombudsman has been established within the Department of Banking and Finance.
The duties of this individual include acting as an advocate for Agencies who may be experiencing
problems in obtaining timely payment(s) from the Department. The Vendor Ombudsman may be
contacted at (850)410-9724 or by calling the State Comptroller's Hotline, 1-800-848-3792.
Establishment and Maintenance of Accounting Records: Records of costs incurred under
terms of this Agreement shall be maintained and made available upon request to the Department
at all times during the period of this Agreement and for five years after final payment is made.
Copies of these documents and records shall be furnished to the Department upon request.
Records of costs incurred include the Agency's general accounting records and the project
records, together with supporting documents and records, of the Agency and all subcontractors
performing work on the project, and all other records of the Agency and subcontractors
considered necessary by the Department for a proper audit of costs. If any litigation, claim or
audit is started before the expiration of the five-year period, the records shall be retained until all
litigation, claims or audit findings involving the records have been resolved
Audit Reports: The Agency shall provide to the Department for each of its fiscal years for which
the project account remains open an audit report prepared either by its official auditor or audit
agency or an independent certified public accountant, reflecting the use of the funds of the
Department, the Agency, and those from any other source with respect to the project as required
by the Department's Procedure No. 450-021-001, "Recipient/Subrecipient Single Audit
Procedures." Audits shall be performed in accordance with generally accepted government
auditing standards contained in the Standards for Audit of Governmental Organizations,
Programs, Activities and Functions, issued by the U. S. General Accounting Office and OMB
Circular A-133, Audits of States, Local Governments, and Non-Profit Organizations. The Agency
shall require its auditors to include in their report a schedule of project assistance which shall
include a schedule of project assistance that will reflect the Department's contract number, FM
number, Federal identification number, where applicable, and amount of State funding.

Multi-Year Commitment: In the event this Agreement is in excess of $25,000 and has a term for
a period of more than one year, the provisions of Section 339.135(6)(a), Florida Statutes, are
hereby incorporated:
(a) The Department, during any fiscal year, shall not expend money, incur any
liability or enter into any contract which, by its terms, involves the expenditure of
money in excess of the amounts budgeted as available for expenditure during
such fiscal year. Any contract, verbal or written, made in violation of this
subsection is null and void, and no money shall be paid on such contract. The
Department shall require a statement from the comptroller of the Department that
funds are available prior to entering into any such contract or other binding
commitment of funds. Nothing herein contained shall prevent the making of
contracts for periods exceeding one year, but any contract so made shall be
executory only for the value of the services to be rendered or agreed to be paid
for in succeeding fiscal years, and this paragraph shall be incorporated verbatim
in all contracts of the Department which are for an amount in excess of 25,000
dollars and which have a term for a period of more than one year.
Legislative Appropriation: The State of Florida's performance and obligation to pay under this
contract is contingent upon an annual appropriation by the legislature.
