MINUTES
Mayor Baugh called the Workshop to order at 6:00 PM in the City Hall
conference room. He stated the purpose was for interview of three of
the short listed applicants for City Manager, with two having withdrawn.
He read the schedule of: Dennis Kelly, Deland, on September 21st;
William Powers, Cocoa, on September 27th; and Scott Hancock, Centreville,
Maryland, on September 28th.

Dennis Kelly, Deland, was the first applicant to be interviewed. Councilman
Asting stated that he's familiar with Mr. Kelly's work as City Manager and has
nothing to ask him at this time.
Councilman Rotundo asked how he'd set up the CIP program. Mr. Kelly replied
he'd talked with all of them individually with exception of Councilman Mitchum,
who's scheduled now. He pointed out he sees some contrasts with the project
phasing and financial phasing that don't mesh and they need to get a financial
advisor selected who will be a resource person when it goes to the public.
He reviewed the various steps to be covered, noting it could be 4 or 5 phases
over the next 4, 5, or 6 years. He stated they won't be able to have a $20 or
$30 million dollar project as the financial capacity to bond is probably $7 to
$10 million on the first phase, and then the additional revenue generated from
that phase into the system with minimum expenses will give them a healthy
bond debt ratio. Councilman Rotundo asked if it will be five years to complete
and Mr. Kelly replied it would be about 5 to 7 years to the South of Florida
Shores if they started now and broke ground by this time next year. He noted
that street paving will have to come in right after the sewage. Councilman
Rotundo asked if he'd recommend another bond issue after the water and sewer
and Mr. Kelly replied he envisioned street paving could be done a year after
the sewer is laid. He reviewed how it could affect the homeowners with assess-
ments on more than one project if it's one year after another. Councilman
Asting noted the streets already paved will be torn up for sewer lines and will
have to be repaired. Mr. Kelly said it would probably be a trough, cutting
a line down the middle, and it would be part of the contract to make the repairs.
Councilman Prater asked the areas of supervision not meeting his standards and
what changes would be necessary. Mr. Kelly replied the areas of supervision
are meeting his demands in light of the fact that he's Interim and he's not
putting a lot of demands on them. He added that 2 or 3 have had problems in
the past related to the City Council but he hasn't encountered any of these
problems under his watch. He referred to the organizational analysis presented
this Spring with some of the changes taking place in the budget process now.
He stated the need for a Planning Director and noted that in the next budget
he'll request two additional Department Heads, a Purchasing Director and a
Personnel Director, which he places above the need for a full time Attorney
and full time Engineer.
Councilman Prater asked if he plans any changes in communications to the
public concerning City business. Mr. Kelly replied he'd set up speaking
engagements on the budget but the two cancelled due to other commitments.
He added that if he was a permanent status, he'd move to Edgewater and be
available to anyone day or night, plus he keeps an answering machine.
He said he'd try to do more one on one communications with citizens. He
reviewed his past policies of speaking to homeowners associations, civic
groups and churches. He pointed out the CIP will require aggressive public
relations. He referred to the input with the shell pit issue on Mango Tree.

Interview of Dennis W. Kelly(Continued) -
Councilman Prater asked the amount of hours he plans to spend in City Hall
during business hours. Mr. Kelly replied it would be as much time as needed
to do the job. Councilman Prater asked the number of hours per day or per
week and Mr. Kelly replied 50 to 55, and he's normally here 9 to 5:30 and
2 or 3 nights a week for 7:00 sessions. Councilman Prater stated that people
can't call at night and he was looking for someone from 8 to 4:30.
Mayor Baugh asked if he lets someone know where he can be reached when he
leaves the office and Mr. Kelly replied yes. Mayor Baugh referred to an
incident when nobody knew where he was. Mr. Kelly asked the date and after
Mayor Baugh advised the date, Mr. Kelly replied he was interviewing for a
job. Mayor Baugh asked that he let someone know where he is in the event
he's out. Mr. Kelly pointed out he made it clear during his interview for
the interim position that he'd be out for interviews. Councilman Prater
referred to calls he's received that they couldn't contact him during working
hours. Councilman Mitchum asked if that problem will be eliminated if he
were made permanent and Mr. Kelly replied yes.
Councilman Prater asked if he thinks there should be a moratorium on building
in Florida Shores due to the pollution regarding septic tanks, etc. There
was discussion regarding the prior notices from the Health Department and Mr.
Kelly reviewed the moratorium procedure.
Councilman Mitchum stated he's watched Mr. Kelly over the last 7 months and
he thinks he's performed fantastically under the conditions and has answered
his question of whether he can do the job or not.
Mayor Baugh asked if he believes in doing important things without telling
the Councilor telling Council more than they should know. Mr. Kelly replied
he tries to be thorough and similar to the way he handled the CIP program,
and what is important is subject to interpretation. He referred to the various
goals and objectives of each of the 5 Council members, with the CIP being very
important to all 5.
Mayor Baugh asked for a rundown of his last 3 positions and why he left. Mr.
Kelly replied the City of Deland was a strong professional conflict in dealing
with the City Council and his recommendations regarding pay raises and cost of
living were not heeded and created a very difficult environment to manage
personnel when the City Council gave 3 different levels of increases.
He said the 4-year conract with Longboat Key expired and they wanted to move
the children into a more conventional community so they left and moved to
Bradenton. He reviewed his tenure in Saint Cloud and putting together a 22
million dollar bond issue to expand the sewer and power plant which was then
refused by the City Council and they parted ways mutually but not necessarily
under the best of circumstances.
Mayor Baugh asked about the ~% to come back to him to be disbursed that was on
his previous contract. Mr. Kelly replied that it was ! point of bonds floated
because of the work involved and the other was a bonus incentive for the per-
centage of the increase in retained earnings to be disbursed among management
staff. There was discussion of whether this was common practice and also how
the retained earnings are calculated. Councilman Asting asked if the items on
the suggested contract were negotiable and Mr. Kelly replied yes.
Councilman Prater spoke on the residency requirement ordinance and asked Mr.
Kelly if he would move if he were given the job. Mr. Kelly replied yes,
he's lived in any city he's worked for, and there's usually a 6 month clause
and a one time only 6 month extension option. He referred to experiences in
other cities. Mayor Baugh asked if feels Department Heads should live in the
City and Mr. Kelly replied no, but that's his personal opinion, and he'll
administer it if the ordinance requires it. Councilman Prater spoke further
on the 3-1 vote of the citizens to have this requirement, noting the first
ordinance would have grandfathered in those with a legitimate excuse. Mr.
Kelly pointed out that an ordinance should have been in place before it went
to referendum to avoid the problems they have now. Mr. Kelly referred to
instances of having qualified individuals who live in neighboring towns who
couldn't be hired because of geographic location. Councilman Prater asked
about people outside the City who work until retirement on the City's plan
and the people of Edgewater then pay their retirement. Mr. Kelly expressed
his views on the subject, adding that he'd enforce the ordinance.

William Thomas Powers was the second applicant to be interviewed for the position
of City Manager. Mayor Baugh explained the interview procedure.
Councilman Rotundo asked about the personnel evaluation he developed. Mr. Powers
explained that Cocoa didn't have an employee evaluation past the probationary
stage and he compiled information from other cities. Mayor Baugh asked the
number of employees in Cocoa and Mr. Powers replied 300. Councilman Asting
asked if he's still employed in Cocoa and Mr. Powers replied no, it was a forced
resignation with basic philosophical differences on how the government should
be administered.
Councilman Asting asked if he's still in the Naval Reserve and Mr. Powers replied
he's retired and will receive some benefits at age 60.
Councilman Mitchum asked what he'd done before municipal government work and
Mr. Powers replied he'd been an officer in the Navy for 11 years. He reviewed
some of his duty assignments. Councilman Mitchum asked about the family
business and Mr. Powers replied it was a short time and he went to the Navy
and rose to Lt. Commander and got his basic degree in finance and accounting
and government and then went to budgeting and coastal management. He reviewed
a brief business in transporting fresh shrimp. Councilman Mitchum reviewed the
proposed CIP program that is pending. Mr. Powers stated it will take a bond
issue and he went through a bond issue in Perry and when he went to Cocoa they
were closing a 16 million dollar bond issue for sewer expansion. He reviewed
the sewer expansion and redistributing the water for irrigation, thus having
another source of revenue. He briefly discussed the stormwater utility.
Councilman Mitchum asked what he'd do in the first two months if he were hired.
Mr. Powers replied he'd acquaint himself with staff and goals of Council,
major problems at hand now, status of pending lawsuits, review of the City's
contracts and the self-insurance program. Mr. Powers stated that most cities
are contracting out garbage collection because of the problems with the land
fills and monitoring which would reduce their exposure to one of the most
injurious type collections.
Councilman Prater asked why he applied for this position and Mr. Powers replied
that Edgewater is growing rapidly and has problems associated with that and
they need to restructure the government to the Council-Manager form. Councilman
Prater asked if he felt he'd meet the needs of our City. Mr. Powers replied
that he'd want to know Council's expectations and feels he can more than ade-
quately accomplish that. Councilman Prater asked if he has problems making
tough decisions quickly and Mr. Powers replied no. Councilman Prater asked if
he's a good planner and communicator and Mr. Powers replied he's a good communi-
cator and feels it's one of the most important functions of the City Manager.
Mayor Baugh asked if he'd supply Council with pertinent information or go ahead
and make a decision and then supply Council with the information. Mr. Powers
replied he'd instituted the "What's Happening" memo in Cocoa sent every Friday
to Council to show what's accomplished that week and what they're planning to
do the next week so no Council member is caught off guard about what's going on.
Councilman Prater asked if he'll assume responsibility for all actions of the
staff and Mr. Powers replied all responsibility rests with the City Manager.
Councilman Prater asked if he'll show favoritism and Mr. Powers replied a
Manager cannot show favoritism. He added that some departments may need extra
attention to bring the department on line. Councilman Prater asked if he'd
move into the City if he were selected and Mr. Powers replied the City Manager
should live within the corporate limits as should certain Department Heads,
such as the Planning Director and the Chief of Police.

Mayor Baugh asked any shortcomings he may have and Mr. Powers replied he
doesn't make the same mistake twice and they're not going to please everybody.
He added that he's good with people,solicits input and ideas from them, and
is strong on the personnel side. Mayor Baugh asked if the City Manager should
let someone know where he's going to be or how to be reached if he's going to
leave the office. Mr. Powers replied it's hard to reach a Manager at all
times such as going from the office to a job site, but he likes to let his
secretary know where he's going, and he could be reached if there's proper
communication equipment in a vehicle. Mayor Baugh asked if the City Manager
should keep a record of his time worked even though he's on salary. Mr.
Powers noted he'd kept a note of the total hours spent per day but didn't
log it officially. Mayor Baugh asked if the City Manager should get involved
in politics. Mr. Powers replied a City Manager is involved in politics in
that he provides Council with data on decisions they're going to make.
Councilman Rotundo noted his salary in Cocoa was $53,000 and Edgewater can't
pay that much. He asked if he'd come at a lower rate of pay. Mr. Powers
replied he'd have to look at the entire package and housing may be less than
in Cocoa. He added that as Edgewater grows, he'd expect his salary to grow.
Councilman Mitchum asked what he's currently doing and Mr. Powers replied
he's interviewing, and it takes about six months in the City Manager profession.
Councilman Prater asked how many hours he'd spend at City Hall. Mr. Powers
replied a City Manager can't do his job sitting at his desk as he has to be
out visiting various job sites and he has to be aware of what's going on in
the community, but he spends whatever time it takes to get the job done.
Mayor Baugh asked if he'd get involved in City activities. Mr. Powers replied
they do get involved. He reviewed his wifes and children's activities.
Councilman Prater asked if he approves instituting training safety programs. Mr.
Powers replied he's a big believer in training, especially in safety.
Councilman Asting asked why they went to a merit system. Mr. Powers explained
the unions had in their contracts the longevity. Councilman Asting and Mr.
Powers further discussed the two merit systems.
Councilman Rotundo asked if he'd hire a Finance Director and Mr. Powers
replied that good professional people don't cost money, they save money,
and he can't answer without making an assessment of the organization.
Councilman Rotundo asked about a Personnel Director and Mr. Powers replied
that personnel is one of the biggest exposures to litigation and they need
someone who knows what he's doing.
Councilman Asting asked if he'd make changes in garbage and trash and Mr.
Powers replied he'd make recommendations, but Council has to decide the policy.
Mr. Powers noted that Cocoa had the garbage service but they were losing money.
City Attorney Alvarez left the meeting at this time, 6:35,P.M~
Councilman Asting and Mr. Powers discussed the City's practice of garbage and
trash and that of Cocoa, and the problems with solid waste disposal. Mayor
Baugh asked that he look at what the City has and money they're making before
making a recommendation.
Councilman Rotundo asked when he could start if selected and Mr. Powers
replied within a two-week period.
Mr. Powers asked what Council sees as the function of a City Manager. Council-
man Mitchum stated the City Manager should have the full administrative power
and Council is there to legislate. He added the Manager is responsible for
what goes on and is answerable to Council and the employees are answerable to
him. Mayor Baugh, Councilman Rotundo, and Councilman Prater agreed. Mayor
Baugh noted that even if some decisions the City Manager may make are very
much against the citizens, they have to back the Manager.

Mr. Powers asked the plans to meet the City's needs regarding infra-
structure demands. Mayor Baugh reviewed the prior paving assessment program,
and stated under the CIP it would be an assessment type program to cover the
bond issue. Councilman Mitchum stated he agrees with the impact fee user
charges, and when the major decisions have to be made they will need good
communications between the Council, Manager, and citizens. Mr. Powers noted
the need for employee-Manager contacts rather than as handled previously
between the employee and Council members.
Mr. Powers stated that enterprises must be self-supporting. Councilman
Mitchum pointed out they just moved the utility taxes.
Mr. Powers stated they have to realign the Charter and ordinances to reflect
the Council-Manager form of government. Councilman Mitchum explained that a
Charter Review Committee is being formed.
Mr. Powers asked where Council wants Edgewater to be in 5 to 10 years and what
their goals, objectives, and long range plans are. Councilman Asting replied
the CIP with the paving program, updating the sewer system, and sewer lines
cover his goals. Councilman Mitchum replied the City Manager form of govern-
ment would be a project in the coming year. Councilman Asting stated they
want to modernize. Mayor Baugh stated they want to control growth.
Councilman Rotundo asked if he's familiar with getting grants for the City
and Mr. Powers replied he acquired several grants for Perry and some grants
are dependent on the economic state of the area. He briefly referredtheDNR
and DER grants that are available.
Mr. Powers pointed out all five elected official~ terms are up, which doesn't
assure continuity. He stated that most Charters are going to 4 year terms and
staggered and then have 2 years without an election. Councilman Mitchum agreed
with staggered terms and pointed out that will go to the Charter Review Committee
for their recommendation.
Mr. Powers suggested the stormwater utility be looked at and put in place as
soon as possible.
Mr. Powers stated a City Manager will require a contract or agreement to come
to Edgewater. Councilman Prater asked the term of the contract he would
consider and Mr. Powers replied he won't go with indefinite and wants a specific
time for about 3 years and after 2 years, they can extend it and then every
12 months.
Mayor Baugh recessed the workshop at 6:53 P.M. until Thursday, September 28,

Scott Hancock was the third applicant to be interviewed. Mayor Baugh explained
the interview procedure.
Councilman Prater asked why he'd applied for this position. Mr. Hancock replied
he was Town Manager in a small town in Maryland for 7 years and is looking for a
larger community in the southern area. Councilman Prater asked if he thinks he'll
fit the needs as Manager and Mr. Hancock replied yes, he has the knowledge and
experience and skills to do a good job. Councilman Prater asked if he has a
problem making tough decisions quickly. Mr. Hancock replied he doesn't like to
make decisions quickly and a good thought process is the best way for any decision
to be made. Councilman Prater asked if he has the ability to deal with and moti-
vate people and solve problems and Mr. Hancock replied he believes he does, and
they can contact his references. Councilman Prater asked if he's a good planner
and communicator and Mr. Hancock replied he's a very organized person and is
very demanding and he has to spend time planning how to schedule and prioritize.
Councilman Prater asked if he'll assume responsibility for all actions of the
staff and Mr. Hancock replied the staff is his responsibility and he'd deal
directly with the Department Heads and wouldn't interfere with a Department Head's
decision. Councilman Prater asked if he'd show favoritism. Mr. Hancock said no.

Scott A.Hancock interview (Continued) -
Councilman Mitchum asked if there are any problems with the present job or
a reason for leaving. Mr. Hancock replied he's not aware of any problems
with the present job. Councilman Mitchum asked if he's familiar with the
ClP program and Mr. Hancock replied he's not totally familiar. Councilman
Mitchum briefly reviewed the pending paving and sewer projects. Mr.
Hancock reviewed the infrastructure in the older community where he works,
and stated he's finishing a 7~ million dollar program for water mains, and
believes he can handle it. Councilman Mitchum asked if he would be able to
deal with bankers and bond counsels and Mr. Hancock replied he hasn't had
a lot of experience with bonds because Centreville had investment money.
Councilman Mitchum asked his idea of the Council-Manager form of government
and Mr. Hancock replied the Council and elected officials of the community
are policy makers and the Manager can recommend policies and give advice but
the policy is formulated by Council and the Manager is reponsible for imple-
menting that policy. Councilman Mitchum asked what he'd do his first two
months. Mr. Hancock replied it would be a learning time of the community and
citizens and staff. Councilman Mitchum pointed out there's an election in
November and there might be an entire change in Council. Mr. Hancock said his
philosophy is the Manager's job is not political and it shouldn't enter into
any decision the Manager makes but the appointment is a political process
and he'll work for whoever is here. Councilman Mitchum asked if he'd require
a contract and Mr. Hancock replied he'd ask for an employment agreement and
he has one now in Maryland. Mayor Baugh asked the time and Mr. Hancock replied
his appointment is for an indefinite term and he's required to give the City
30 days notice of leaving. Mayor Baugh asked if they have to give him time
and Mr. Hancock reviewed the provision for a public hearing and resolution
to be passed by the City Council to notify of intent, with a 4 month severance pay.
Councilman Rotundo asked the size of Centreville and Mr. Hancock replied 3,000. I
Councilman Rotundo asked about his development of a purchase program for major
equipment using a lease process. Mr. Hancock reviewed the process of spreading
the payments over 4 or 5 years. Councilman Rotundo asked if they have a
Finance Director on staff. Mr. Hancock replied they have four departments,
the Finance Administration, Public Works with water and sewer, Recreation, and
Police Departments. Mayor Baugh asked the number of employees and Mr. Hancock
replied 22 full time and 10 part time employees during the summer months.
Councilman Asting asked if he's still employed and Mr. Hancock replied yes.
Councilman Asting asked his current salary and Mr. Hancock replied it's $34,500
salary with a 7% deferred compensation. Councilman Asting asked what benefits
he receives and Mr. Hancock replied the same as other City employees and
retirement through the lCMA Retirement Corporation. Councilman Asting asked
how he'd organize the people under him. Mr. Hancock said he wouldn't want
responsibility for all those directing the operations every day and they have
Department Heads set up. Councilman Asting asked if he'd make any changes in
the organization he has now and Mr. Hancock replied he wouldn't make any
changes without Council's knowledge and he'd have to study it. Councilman
Asting asked what salary he'd expect if he were hired and Mr. Hancock replied
the range advertised was something he feels he can live with or he wouldn't
have applied for the job.
Mayor Baugh asked about his better or strong points and his weak ones. Mr.
Hancock replied his strong points would be in personnel and financial admin-
istration and budgeting and he's least effective in economic issues due to lack
of time to devote to them. He added that a personal weakness is that he
expects too much of people and is impatient. Mayor Baugh asked where he
worked prior to Centreville and why he left. Mr. Hancock replied he worked
for the Town of Snow Hill for about a year and left for the Centreville
position as Town Manager. He noted that he was Assistant Town Administrator
in Snow Hill and was responsible for economic development and tourism. He
reviewed prior experience as a radio announcer and news reporter and Policeman.
Mayor Baugh asked if he was in the service and Mr. Hancock replied no. Mayor
Baugh asked about his family and his affiliation with the City. Mr. Hancock
replied he's been married 6 years and has no children and his wife is a legal
secretary. He reviewed present involvement with the community in Maryland.

Councilman Rotundo stated that 40 hours isn't enough to get the job done and
Mr. Hancock agreed. Mayor Baugh asked it the City Manager should get involved
in politics and Mr. Hancock replied no. Mayor Baugh asked if the City Manager
and Department Heads should live in the City and Mr. Hancock replied the City
Manager should live in the City, and it's important to have the City Manager
and Department Heads close by in case of emergencies. Mayor Baugh asked if
he believes in doing important things without telling the Councilor would he
make the Council more apprised of what he's doing than necessary. Mr.
Hancock replied it would probably be more than necessary and he's on the tele-
phone with them constantly to advise what's going on as he doesn't want them
to find out from another source.
Mayor Baugh asked if the City Manager should leave word where he can be reached
if he leaves the office for 3 or 4 days. Mr. Hancock replied yes, although his
staff doesn't know where he is now but his Council does. Mayor Baugh asked
where he'd like to see the City of Edgewater in 4 to 5 years and Mr. Hancock
replied where the Council wants to see it is where he'd like to see it.
Councilman Prater asked about initiating a voluntary recycling program with
glass and metal since it looks compulsory in a short time. Mr. Hancock replied
it's an excellent idea and it's a matter of having a depository and transferring
it from the depository to whoever will pick it up. Mr. Hancock reviewed the
newspaper recycling program in Maryland.
Mr. Hancock asked the quality of Manager the Council wants and Mayor Baugh
replied he wants an individual to run the City at the direction of Council.
He reviewed previous incidents with Department Heads contacting Council to
get action, and stated it should be channeled through Department Heads to the
Manager to Council. Councilman Rotundo stated they'll need good public
relations when they go into the CIP to sell the public on the issue. Mr.
Hancock stated one of his strengths is public relations but he needs to know
more about the program. Mayor Baugh asked if he does any public speaking and
Mr. Hancock replied he guest lectures at a community college with planning and
zoning matters.
Mr. Hancock asked the first major assignment from Council. Mayor Baugh replied
his would be reorganization and Councilman Prater agreed. Mayor Baugh stated
they want the Departments to know the chain of command and what they should do
if they have a problem. Councilman Mitchum pointed out they've had an Interim
City Manager for 7 months and the chain of command is in place, and the CIP
should be a top priority, with sewers essential. Councilman Asting stated it
would be in stages. Councilman Rotundo said they need a new sewer plant and
Mayor Baugh stated they need a new water plant as it will take 5 years or
more for the CIP to be completed. Mr. Hancock asked if economic development
is a concern and a top priority. Councilman Mitchum replied that with growth
they'll have to look for employment opportunities and businesses but they may
have to look at some industry.
Councilman Rotundo asked if he's familiar with Florida Public Records and
Sunshine Laws and Mr. Hancock replied no, but they have a Sunshine Law in
Maryland and he'd compare them.
Mr. Hancock asked about the two year voters performance referendum and Council-
man Mitchum explained it's on the upcoming ballot in November. There was dis-
cussion about the original question and intent.
Councilman Asting stated there will be a probation period and Mr. Hancock
agreed. Mayor Baugh stated it's 6 months.
Mr. Hancock stated he'd read about the problem with the stormwater runoff
problems in the Indian River. Mayor Baugh briefly reviewed the Menard-May
swimming issue.

Scott A. Hancock interview (Continued) -
Mr. Hancock asked how the budget process is handled and Mayor Baugh replied
they're in the new budget as of October 1st and Department Heads requested
through the City Manager their needs and he worked with the Finance Officer.
Mr. Hancock asked if the City Manager presents a balanced budget to the
Council and Councilman Mitchum replied they had it this year. Mr. Hancock
commented on the nice job with the financial reports.
Mr. Hancock thanked Council for the opportunity to interview and stated he'd
like to be a part of this community.
Mayor Baugh stated that this concludes the Workshops. Workshop was concluded
at 7:00 P.M.
