89-R-34RESOLUTION NO. 89-R-34 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF EDGEWATER, FLORIDA, AUTHORIZING THE APPROPRIATE OFFICIALS OF THE CITY OF EDGEWATER, TO EXECUTE A "PROFESSIONAL SERVICES AGREEMENT" WITH JOSE B. ALVAREZ, FOR IN-HOUSE LEGAL SERVICES) REPEALING ALL RESOLUTIONS IN CONFLICT HEREWITH AND PROVIDING FOR AN EFFECTIVE DATE. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF EDGEWATER, FLORIDA: SECTION 1. That the City Council of the City of Edge- water, Florida, authorizes the appropriate officials of the City of Edgewater, Florida, to execute a "Professional Services Agree- ment" with Jose B. Alvarez, for In -House Legal Services. SECTION 2. A copy of said Agreement is attached to this Resolution and by reference incorporated herein as if fully set forth and marked Exhibit "A". SECTION 3. That all resolutions or parts of resolutions in conflict herewith be and the same are hereby repealed. SECTION 4. That this Resolution shall take effect immedi- ately upon its adoption by the City Council of the City of Edge- water, Florida, at a special meeting of said Council held on the 15th day of May , 1989, and ap- proved as provided by law. This Resolution Prepared by: J 63 a� City Attorney SPECIAL SERVICES AGREEMENT This agreement, made this 15th day of May, 1989, by and between the CITY OF EDGEWATER, a municipal corporation, organized and existing under the laws of the State of Florida, hereinafter referred to as the City, and JOSE B. ALVAREZ, of Volusia County, Florida, a member of the Florida Bar Association, practicing the profession of law in Volusia County, Florida, hereinafter referred to as the Attorney. W I T W E S S E T H: For the considerations hereinafter set forth, the parties agree as follows: 1. The City hereby employs the Attorney for legal services associated with the City of Edgewater Capital Improvements Project, at a fee of Seventy -Five (575.O0) Dollars per hour. Statements for services will be paid from the Capital Improvement Projects financings as available. 2. The Attorney agrees and will obligate himself to faith- fully represent the interest of the City regarding the following legal services: a. Development of assessment areas for water system improvements. b. Development of assessment areas for wastewater improvements. C. Development of assessment areas for road repaving improvements. d. Development of special assessments as required, e. Legal services relative to service area delineation. f. Legal services relative to standard developer agree- ments, utility policies and procedures, utility extension policies, and Chapter 180 utility master planning. g.. Legal research and ordinance preparation, as well as legal assistance in establishing a stormwater utility for the City of Edgewater. h. Participation on the Capital Improvements Program Facilities Team with the meetings and activities associated therewith. i. To investigate, negotiate and implement whatever is necessary related to land acquisition and easement obtainment for numerous pipelines, pump stations, treatment plant site, wellfield and other required i land activities. j. Assistance in rezoning water treatment plant site with volusia County. k. Assistance in modifications to the City's Charter. 1. Assistance in modifications to the City Code relative to utilities, stormwater and paving. m. Assistance relative to modifications and improvements to the City's Land Development Code. n. Assistance and ordinance formation for revised water and wastewater capital charges. o. Assistance and ordinance formation for revised utility rates. p. Legal participation on the City of Edgewater's CIP Finance Committee. q. Review of bond ordinances. r. Coordination with investment banker, City Manager and bond counsel relative to financings. S. Review and presentation of financing, resolutions, ordinances and certificates as needed. t. Legal assistance for bond validations for each of the financings. 3. This Agreement is for the duration of the Capital Improvement Prpgram and shall not extend beyond its conclusion. 4. This Agreement shall take effect upon adoption of a Resolution authorizing the appropriate officials to execute same.
