RESOLUTION NO. 85-R-44
A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF EDGEWATER, FLORIDA, AUTHORIZING THE APPRO-
PRIATE CITY OFFICIALS OF THE CITY OF EDGEWATER
TO EXECUTE AMENDMENT NO. 2 TO THE AGREEMENT FOR
CONSULTING ENGINEERING SERVICES WITH DYER,
RIDDLE, MILLS & PRECOURT, INC. AND MARSHALL,
ENGINEERS; REPEALING ALL RESOLUTIONS IN CONFLICT
HEREWITH, AND PROVIDING AN EFFECTIVE DATE.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF EDGEWATER, FLORIDA:
SECTION 1: That the City Council of the City of Edgewater,
authorizes the appropriate officials of the City of Edgewater,
Florida, to execute Amendment No. 2 to the Agreement for Consulting
Engineering Services with Dyer, Riddle, Mills & Precourt, Inc. and

SECTION 2: A copy of said Amendment dated i41"etvem_"bes_a_,1985,
is attached to this Resolution and by reference incorporated
herein as if fully set forth. Said Amendment No. 2 includes
Exhibit "A", Scope of Services; Exhibit"B", Estimated Construction
Cost; and Exhibit "C", Compensation.
SECTION 3: That all Resolutions or parts of Resolutions in
conflict herewith be and the same are hereby repealed.
SECTION 4: That this Resolution shall take effect immediately
upon its adoption by the City Council of the City of Edgewater,
Florida, at a meeting of said Council held on the ` _4

Dear Mr. Wadsworth:
Amendment No. 1 to the contract between the City of Edgewater, Dyer, Riddle,
Mills 6 PreCOUTt, Inc. (DAMP), and Marshall, Engineers entailed the preliminary
design activities relative to the water improvement program.
This Amendment provides for the final design activities relative to the design of
water supply wells, well pumps, piping and appurtenances, raw water transmission,
and the water treatment plant expansion or improvements at the Park Avenue site.
We are forwarding this submittal to you for your review and discussion prior to City
Council consideration.
If you have any questions or comments relative to the attachment, do not hesitate
to give either Frank or me a call. DRMP will be involed in the well design, well
pumps, piping and appurtenances, and the water treatment plant design. Marshall
Engineers will be involved in the raw water transmission facilities design. Since
each one of the four components are distinctly different in construction activities
with specialty contractors, it is more cost-effective to bid the projects and administer
them as individual contracts for well construction, well equipping, raw water
transmission and treatment plant improvements.

This AMENDMENT made and entered into this"` 'day of eN vemer, 1985, amends
the consulting engineering AGREEMENT for professional services between the CITY
COUNCIL OF THE CITY OF EDGEWATER, FLORIDA (hereinafter referred to as
"CITY"), and MARSHALL, ENGINEERS, and DYER, RIDDLE, MILLS & PRECOURT,
INC. (hereinafter referred to as "CONSULTING ENGINEERS") to perform final design
activities relative to the expansion of the CITY's well field, well pumps piping and
appurtenances, raw water transmission facilities, and the expansion to the CITY's
water treatment plant;
WHEREAS, this AMENDMENT shall incorporate all of the conditions and
requirements of the original CONTRACT between the CONSULTING ENGINEERS
and the CITY, dated October 3, 1985;
Provisions delineated in the October 3, 1985 AGREEMENT shall remain in
full force without modification. In case of conflict this AMENDMENT shall prevail.
This AMENDMENT provides for certain professional consulting engineering services
relative to the CITY's water system. The services provided in this AMENDMENT
include, but are not limited to providing design, and final construction permit
submittals, analysis, and recommendations for the CITY's immediate water system
facility needs.
As directed by the designated CITY representative to the CONSULTING
ENGINEERS, confirmed by the CITY's work order, the scope of services as delineated
in Exhibit "A", the expected project cost as delineated in Exhibit "B", and the
professional engineering compensation as delineated in Exhibit "C" are made part
of this AMENDMENT.

IN WITNESS WHEREOF, the parties hereto have accepted, made and executed
this AMENDMENT No. 2 upon the terms and conditions stated in the AGREEMENT
dated October 3, 1985.
