ORDINANCE NO. 2000-0-03
AN ORDINANCE ANNEXING CERTAIN REAL PROPERTY
LOCATED AT 735 AIR PARK ROAD, VOLUSIA COUNTY,
INTO THE CITY OF EDGEW A TER, FLORIDA; SUBJECT
TO THE JURISDICTION, OBLIGATIONS, BENEFITS AND
PRIVILEGES OF THE MUNICIPALITY AND TERMS OF
THE ANNEXATION AGREEMENT; AMENDING THE
DESCRIPTION OF CITY OF EDGEWATER CORPORATE
LIMITS; PROVIDING FOR FILING WITH THE CLERK OF
THE CIRCUIT COURT, VOLUSIA COUNTY, THE VOLUSIA
COUNTY PROPERTY APPRAISER AND THE
DEP ARTMENT OF ST ATE; PROVIDING FOR
CONFLICTING PROVISIONS, SEVERABILITY AND
APPLICABILITY; PROVIDING FOR AN EFFECTIVE DATE
AND FOR ADOPTION.
WHEREAS, the City Council of the City of Edgewater, Florida, has made the following
determinations:
1. Red Carpet Helicopters, Inc. and Skyway Drive Industrial Park Corporation, Florida
Corporations, are the owners of certain real property located at 735 Air Park Road and 341 Skyway
Drive, in Volusia County, Florida. Subject property contains approximately 5.0 acres located on
Lots 3 and 4, Massey Industrial Air Park and approximately 9.07 acres located at 735 Air Park Road
bringing the estimated area of annexation to approximately 14.07 acres more or less. Subject
property lies in voting district 1.
2. The owners have voluntarily petitioned the City of Edge water for annexation pursuant
to Section 171.044, Florida Statutes.
3. The property is contiguous to the City's boundaries and the conditions for annexation
and the economics thereof are satisfactory.

4. After a meeting on December 15, 1999, the Planning and Zoning Board reviewed the
petition and recommended by a vote of 6 to 0 that the property be annexed into the City.
NOW, THEREFORE, BE IT ENACTED by the People ofthe City of Edge water, Florida:
PART A.
ANNEXATION OF CERTAIN REAL PROPERTY INTO THE CITY OF
EDGEW A TER, FLORIDA.
1.
Pursuant to Section 171.044, Florida Statutes, that certain real property described in
Exhibit A and depicted in the map identified as Exhibit B, which are attached hereto and
incorporated by reference, is hereby annexed into and made part of the City of Edgewater, Florida,
and shall be subject to the jurisdiction, obligations, benefits and privileges of the municipality and
to the terms of that certain Annexation Agreement which is attached hereto and incorporated by
reference as Exhibit C.
2. The boundaries of the City of Edge water are hereby redefined to include the property
described above and depicted in the map identified as Exhibit B.
3. Pursuant to Section 2.01 of the Charter of the City of Edge water, Florida, that certain
document entitled "Description of City of Edgewater Corporate Limits" shall be amended
accordingly.
4. Within seven (7) days after adoption, copies ofthis ordinance shall be filed with the
V olusia County Clerk of the Circuit Court, the V olusia County Property Appraiser, the V olusia
County Manager, the Mapping Division of the Volusia County Growth Management Department,
and the Department of State.

PART B.
CONFLICTING PROVISIONS.
All conflicting ordinances and resolutions, or parts thereof in conflict with this ordinance,
are hereby superseded by this ordinance to the extent of such conflict.
PART C.
SEVERABILITY AND APPLICABILITY.
If any portion of this ordinance is for any reason held or declared to be unconstitutional,
inoperative, or void, such holding shall not affect the remaining portions ofthis ordinance. Ifthis
ordinance or any provisions thereof shall be held to be inapplicable to any person, property, or
circumstances, such holding shall not affect its applicability to any other person, property, or
circumstance.
PART D.
EFFECTIVE DATE.
This ordinance shall take effect upon adoption.

CRILE ANNEXATION AGREEMENT
TIllS AGREEMENT made and entered into this t ih day of ~ n nd' 2000,
by and between, the CITY OF EDGEW ATER, FLORIDA, a municipal corporation, located at 104
N. Riverside Drive, Edgewater, Florida 32132, (hereinafter referred to as "City"); and Red Carpet
Helicopters, Inc., located at 341 Skyway Drive, Building #2, Unit HIK, Edgewater Florida, 32132
and Skyway Drive Industrial Park Inc., located at 341 Skyway Drive, Edgewater Florida 32132,
(hereinafter referred to as "Owners"),
WHEREAS, in order to have the right to utilize City utilities, Owners have caused a Petition
for Voluntary Annexation to be filed for the property described in Exhibit "A"; and
WHEREAS, the City is desirous of annexing said property, and has satisfied itselfthat the
conditions for annexation and the economics thereof are satisfactory; and
NOW, THEREFORE, based on the foregoing, the parties agree as follows:
1. DESCRIPTION
The property which is the subject of this Agreement consists of approximately 5.0 acres
located on lots 3 and 4, Massey Industrial Air Park, and approximately 9.07 acres located at 735 Air
Park Road. The property is more specifically described in the legal description which is attached
hereto and incorporated by reference as Exhibit "A".
2. PERMITTED USES
The City acknowledges the proximity of the annexed area to Massey Ranch Air Park, a
publicly licensed airport, and considers the airport central to the anticipated development of the
annexed area. In addition, the City acknowledges and supports the existence and continuation ofthe

public airport and recognizes that it is a benefit to the public as a transportation facility and promotes
commerce to the community.
Attached hereto and incorporated by reference as Exhibit "B" is a list of the permitted uses
and densities which will be applicable to further development of the property until such time as the
City amends its comprehensive plan and future land use map. The parties hereby agree to the
removal of roof signs, except for painted roof signs and the removal of adult bookstores/theatres as
permitted uses. Under no circumstance shall the permitted use and densities of Exhibit "B" be any
less than that of the applicable County of V olusia zoning that exists at time of application for
annexation. Any development or construction previously permitted by the County of V olusia shall
be accepted by the City without change. The City will not charge any plan review fees for same,
unless agreed to in writing by the Owner. Any new development or construction within the annexed
area not previously permitted by the County of V olusia shall be developed or constructed in
compliance with the applicable City ordinances, resolutions, and regulations effective at the time of
application for development permit or building permit, unless otherwise provided herein.
3. UTILITIES
Owners agree to connect to and utilize the City's water and wastewater distribution systems
within three (3) months of notice of its availability. Owners agree to pay normal connection and
impact fees associated with these systems. Owners agree to provide all required utility easements
for services. The City shall make every effort to provide sewer service to 735 Air Park Road by
May, 2000. City Engineer will provide a schedule to both parties of this Agreement for approval
and City will utilize best efforts to maintain said schedule provided no cause of action resulting in
delays. The City further agrees that water service will be provided to 341 Skyway Ori ve as soon as

practicable.
Owner has previously paid $10,934.43 for design, approval, and construction of I ,600 linear
feet of 8" water line from 435 Air Park Road to and including 650' frontage across 735 Air Park
Road. City shall provide owner an impact fee credit of six thousand four hundred dollars ($6,400).
4. ROADS
The City will request Volusia County, Florida, to realign Air Park Road south of Ranch
Road. Within six (6) months of the date of recording in the public records of Volusia County,
Florida, the City agrees to make best efforts in an attempt to stabilize the unpaved portion of Air
Park Road from the end of the existing paved section to the southern end of the 735 Air Park Road
property. At the time of realignment, if any, the City or County, as appropriate, shall use best efforts
to vacate that portion of existing Air Park Road right-of-way situated between the start and terminus
of the realignment. Any right-of-way so vacated shall be deeded to adjoining property owners in
equal amounts.
5. PERFORMANCE GUARANTEES
Should any part of the annexed area be sold to an individual or corporation not already a
party to this Agreement, the purchaser ofthe property shall be bound by the terms ofthis Agreement
and applicable regulations of the City, where not inconsistent with, or contrary to this Agreement.
Accordingly, the City shall record the Agreement with the Clerk of Circuit Court in V olusia County.
6. CONSISTENCY OF DEVELOPMENT
The City agrees to permit the development ofthe annexed area in the manner defined by this
Annexation Agreement, the attached exhibits, and applicable City ordinances consistent with, and
not contrary to, the terms of this Annexation Agreement.

7. AMENDMENT
This Agreement may only be amended in writing, upon mutual consent of the parties.
8. STATUTORY CONFLICT AND FAILURE TO ADDRESS PARTICULAR
MATTERS
To the extent there is a conflict between this Agreement and any existing City resolution,
regulation or ordinance, this Agreement shall control. However, all other applicable City ordinances
in effect at the time of execution of this Agreement shall continue to apply. Further, the failure of
this Agreement to address a particular permit, condition, term or restriction shall not forgive the
necessity of complying with the law governing said permitting requirements, conditions, terms or
restrictions.
9. APPEAL
If Owners are aggrieved by any decision of any City department head interpreting the terms
of this Agreement, that party shall first file a written appeal with the City Manager. If Owners are
aggrieved by a decision of the City Manager, an appeal shall be made to the City Council. The
appeal shall be initiated by the filing of a written request with the City Manager for placement ofthe
issue on the City Council agenda. After receiving the request, the City Manager shall place the
matter on the next available City Council agenda.
10. BINDING EFFECT
All of the terms and provisions ofthis Agreement, shall be binding upon, inure to the benefit
of and be enforceable by the parties and their respective legal representatives and their successors
in title and interest. The provisions ofthe Agreement and all approved plans shall run with the land,

and shall be administered in a manner consistent with the laws of the State of Florida.
11. GOVERNING LAW
This Agreement shall be governed by the laws of the State of Florida.
